Subject to Sections 3.10, the Seller makes the following representations and warranties, as of the Closing Date, and the Seller acknowledges that the Issuer has relied thereon in acquiring the Recovery Property.
The representations and warranties shall survive the sale and transfer of Recovery Property to the Issuer and the pledge thereof to the Indenture Trustee pursuant to the Indenture.
There is no order by any court providing for the revocation, alteration, limitation or other impairment of the Act, the Financing Order, the Issuance Advice Letter, the Recovery Property or the Recovery Charges or any rights arising under any of them or that seeks to enjoin the performance of any obligations under the Financing Order.
Such sale, transfer, assignment, set over and conveyance is hereby expressly stated to be a sale and, pursuant to Subsections 1 and 2 of Section 5 of the Act, shall be treated as an absolute transfer and true sale of, and not a security interest, of the Recovery Property.
Nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Recovery Property or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.
