Redemption Cap definition

Redemption Cap means the maximum amount of Rewards Points that you can Redeem as set out in the Programme Rules.
Redemption Cap means $200,000,000.

Examples of Redemption Cap in a sentence

  • The Redemption Cap (as defined below) will apply pro rata across all investors in the Master Fund.

  • In the event that there are two (2) or more Transferor Partners at any one time and the payments due from the Partnership to the Transferor Partners exceed the Redemption Cap, then payments to such Transferor Partners shall be reduced proportionately, from time to time and at any time, based on the outstanding principal owed to each Transferor Partner.

  • ListCo, HoldFin and BI represent and warrant to SBLA, as of the Closing Date, that ListCo, HoldFin or BI will have, in aggregate, cash and cash equivalents that are unrestricted and otherwise available to be used to pay the cash consideration for the Cash Redeemable Shares upon their redemption, in an amount equal to the Cash Redemption Cap.

  • ListCo, HoldFin and BI shall, by no later than April 30, 2022, provide evidence satisfactory to SBLA that ListCo, HoldFin or BI will have available (including pursuant to firm funding commitments or otherwise), in aggregate, cash and cash equivalents that are unrestricted and otherwise available in an amount equal to the Cash Redemption Cap, to be used to pay the cash consideration for the Cash Redeemable Shares upon their redemption.

  • The Redemption Cap shall automatically terminate following the occurrence of an Event of Default.

  • NAV of the Fund for the purposes of determining the Redemption Cap will be calculated as of the last business day of the previous calendar quarter.

  • Purchase, acquire or redeem any of its capital stock (other than redemptions of the capital stock of Company not to exceed the Stock Redemption Cap) or make any material change in its capital structure other than the issuance of additional capital stock and options with respect thereto.

  • Such new redemption requests will be subject to the Redemption Cap and will have to be resubmitted for the subsequent Redemption Date if not paid on a Redemption Date (including, for greater certainty, the December 30, 2022 Redemption Date).

Related to Redemption Cap

  • Redemption Call Right has the meaning ascribed thereto in the Plan of Arrangement.

  • Redemption Limit means the sum of the Maximum Daily Redemption Limits applicable to the LS Margin Account Agreement relating to the ETP Securities.

  • Redemption Call Purchase Price has the meaning set out in Section 5.2(a).

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Make-whole Redemption Rate means the sum, as calculated by the Make-whole Calculation Agent, of the Benchmark Rate and the Make-whole Margin.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Early Redemption Factor (k) means the "Early Redemption Factor (k)" as specified in § 1 of the Product and Underlying Data.

  • Redemption Fee means the fee applied by us for the return of funds to an IBAN Account holder, or Cardholder following a request for redemption by an IBAN Account holder Cardholder under this Agreement, as specified in the attached Fees & Limits Schedule;

  • Optional Redemption Settlement Date means the second Valuation Date after the Optional Redemption Pricing Date, provided that such Valuation Date is not a Disrupted Day and that such Valuation Date is both a Currency Business Day and a Clearing System Business Day.

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Maximum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Final Redemption Settlement Date means the day that falls three Currency Business Days after the Final Redemption Date.
