Redemption Warrant definition

Redemption Warrant means any Common Stock Purchase Warrant in the form attached as EXHIBIT E issuable or issued as part of the Optional Redemption Consideration.
Redemption Warrant means the Common Stock Purchase Warrant issuable or issued by the Company in the form attached as EXHIBIT F to the Note.
Redemption Warrant means Warrants, as defined in the Charter.

More Definitions of Redemption Warrant

Redemption Warrant shall have the meaning provided in the Note.
Redemption Warrant means the right to purchase one share of any specified class or series of the capital stock of the Corporation at an exercise price of $0.01 per share governed by the terms of a warrant agreement to be entered into by and between the Corporation and a warrant agent, substantially in the form on file with the Securities and Exchange Commission. Prior to the issuance of the specified class or series of the capital stock of the Corporation issuable upon exercise of any Redemption Warrants, the Redemption Warrants shall not entitle the holder or the owner of any beneficial interest in the Redemption Warrants to any rights as a stockholder of the Corporation, including, without limitation, any rights to vote, to receive dividends or other distributions, to exercise any preemptive right, or to receive notice as stockholders in respect of any meetings of stockholders. A holder of a Redemption Warrant (or its proposed transferee) who cannot establish to the satisfaction of the Corporation that it is a U.S. Citizen shall not be permitted to exercise its Redemption Warrants to the extent the receipt of the shares upon exercise would cause such shares to constitute Excess Shares if they were issued.
Redemption Warrant means the warrants issued by Parent pursuant to this Section 2.08.

Related to Redemption Warrant

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Early Preference Share Redemption Notice means a notice of early redemption of some or all of the Preference Shares given by or on behalf of the Company in accordance with Condition 6 (Notices).
