• If the courts of a competent jurisdiction shall declare any provision of this Referee Agreement invalid, unenforceable or illegal, such provision may be severed and such invalidity, unenforceability or illegality shall not prejudice or affect the validity, enforceability and legality of the remaining provisions of this Referee Agreement.

• G1.1 In consideration of the Referee performing the Referee Services in accordance with this Referee Agreement, each Party shall pay one-half of the Fee to the Referee in accordance with the payment schedule specified in Appendix A.
