Reset Reference Dealer Rate means, on any Reset Rate Determination Date, the rate calculated by the Calculation Agent as being a yield-to-maturity based on the arithmetic mean of the secondary market bid prices for Reset U.S. Treasury Securities at approximately 4:30 p.m. (New York City time) on such Reset Rate Determination Date, of leading primary U.S. government securities dealers in New York City (each, a Reference Dealer).
On the Determination Date (as defined below), the Calculation Agent will determine the Reference Dealer Rate (as defined below) applicable on the Make-Whole Redemption Date, calculate the Make-Whole Amount and, as soon as possible and no later than the Business Day immediately following the Determination Date, deliver a notice to that effect to the Issuer, the Fiscal Agent and the Bondholders in accordance with Condition 10.
