  • The Company shall cause to be kept at the Corporate Trust Office of the Trustee a register of Notes (the register maintained in such office and in any other office or agency of the Company in a Place of Payment being herein sometimes collectively referred to as the "Register of Notes") in which, subject to such reasonable regulations as it may prescribe, the Company shall provide for the registration of Notes and of transfers of Notes.

  • The Company will cancel and mark as “void” in its Register of Notes and Debentures, the First Tranche Debentures issued to those Investors in the Original Offering who agree to Amendment I and substitute the Amended and Restated First Tranche Debenture for same.

  • The interest payable on each Note will be paid to the registered holder of the Note whose name is recorded in the Register of Notes to be maintained by Bank by check mailed to the registered address of such person as it shall appear on the Register of Notes upon the close of business fifteen (15) days following an Interest Payment Date.

  • Holder of Notes or other similar terms means the registered holder of any Note.

  • Register of Members means the register of Members maintained in accordance with the Statute and includes (except where otherwise stated) any branch or duplicate register of Members.

  • Registered Certificate Any Certificate that has been the subject of registration under the Securities Act. As of the Closing Date, the Class A-1, Class A-2, Class A-3, Class A-4, Class A-5, Class A-SB, Class X-A, Class X-B, Class A-S, Class B, Class C and Class PEX Certificates constitute Registered Certificates.

  • Certificate Register and Certificate Registrar The register maintained and the registrar appointed, respectively, pursuant to Section 5.03.

  • Note Register shall have the meaning assigned to such term in Section 15.

  • Common Depositary Notes means Notes that are deposited with a Common Depositary and that will clear and settle through the systems operated by Euroclear, Clearstream and/or any such other applicable clearing system other than DTC.

  • Registered Notes has the meaning specified in Section 2.1.

  • Certificate Register The register maintained pursuant to Section 5.02.

  • Branch Register means any branch Register of such category or categories of Members as the Company may from time to time determine.

  • 2024 Notes means the 7.625% unsecured notes due April 15, 2024, issued pursuant to the 2009 Notes Indenture.

  • Fixed Rate Notes Together, the Class A-1a Notes, the Class A-2 Notes, the Class A-3 Notes, the Class A-4 Notes, the Class B Notes, the Class C Notes, the Class D Notes and the Class E Notes.

  • Global Registered Certificate means a global certificate representing ETP Securities in registered form.

  • Class of Notes means each of the Classes of Notes being:

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • First Source Register means the DOES Automated Applicant Files, which consists of the names of District of Columbia residents registered with DOES.

  • Debenture Register shall have the meaning set forth in Section 2(c).

  • National Register has the same meaning as in section 3 of the National Act. National RTO Standards means the Standards for Registered Training Organisations (RTOs) 2015 (Cth) and its User Guide.

  • Securities Register and "Securities Registrar" have the respective meanings specified in Section 5.4.
