Remedy Event definition

Remedy Event has the meaning set forth in Section 4.2.

Remedy Event has the meaning given to that term in Section 8.1.

Examples of Remedy Event in a sentence

• Landlord and Tenant hereby agree that the damages available to Landlord as a result of a Limited Remedy Event of Default shall be strictly limited to the LRED Damages and that nothing contained herein or in any other transaction document executed concurrently herewith shall entitle Landlord to additional reimbursement or monetary damages with respect to any such Limited Remedy Event of Default.

• In the event that the Requisite Purchasers deliver an Appointment Notice that does not result in a Company Sale, and the Remedy Event that gave rise to such Appointment Event has not been cured within twelve months from the date of the original Appointment Notice, the Requisite Purchasers may deliver additional Appointment Notice(s) any time following twelve months after delivery of any prior Appointment Notice.

• If the Secretary of State has issued a Remedy Event Notice, IP OpCo or IP HoldCo shall not declare, make, pay or permit a Distribution, if and for so long as the relevant Remedy Event (and associated Failure Event, if applicable) has not been Remedied pursuant to paragraph 2.6 (Remedied) of this schedule 2.

• The Pledge Custodian shall be entitled to assume that no Remedy Event shall have occurred and be continuing, unless the Pledge Custodian has received written notice from Freddie Mac that such a Remedy Event has occurred and is continuing and specifying the nature of the Remedy Event.

• Freddie Mac acknowledges and agrees that (i) the circumstances of the foregoing transactions shall not be the basis of a claim under Section 2.4(c) hereof or a Remedy Event under Section 7.1(k) hereof, and (ii) such transactions have been removed from the scheduled exceptions to the assumptions by mutual agreement of the parties and such removal should not be construed as an indication that there are not Inaccuracies in the assumptions in respect of such transactions.

More Definitions of Remedy Event

Remedy Event has the meaning given in the Discontinuation Agreement;

Remedy Event means any Termination Event or Potential Termination Event described in Section 8.1 of this Agreement.

Remedy Event. Any of the following: (a) any Obligations shall not have been paid after the same shall have become due and (other than in the case of a payment obligation under Section 2(k) of the Credit Agreement) such payment failure continues for four Business Days, (b) the occurrence of the Termination Date (as defined in the Credit Agreement) by reason of the occurrence of an event specified in any of clauses (a), (c), (e), (f), (g), (h), (i) and (j) of the definition of “Termination Date”, (c) any Pledgor shall fail to perform any of its material obligations under, or shall breach any material provision of, this Agreement (or, in the case of the Borrower, the Credit Agreement) and (in the case of any failure or breach that, either individually or in the aggregate with all other such failures or breaches, has not had and could not have an Adverse Security Effect) such failure or breach continues for 15 days after notice to such Pledgor, (d) any representation or warranty made by any Pledgor in or pursuant to this Agreement (or, in the case of the Borrower, the Credit Agreement), or in any certificate or other document furnished pursuant to this Agreement (or, in the case of the Borrower, the Credit Agreement), shall prove to have been incorrect in any material respect when made or (e) an Insolvency Event occurs with respect to any Pledgor. For the avoidance of doubt, any obligation or provision of this Agreement or the Credit Agreement, and any failure of a representation or warranty to be correct, shall be deemed to be “material” if a breach or failure thereof, either individually or in the aggregate with all other such failures or breaches, has had or could have an Adverse Security Effect.

Remedy Event means a Compliance Remedy Event or a Payment Remedy Event.
