REMIC Declaration definition

REMIC Declaration. With respect to any Mortgage Loan REMIC, the separate REMIC declaration pursuant to which such Mortgage Loan REMIC was formed. For the avoidance of doubt, there will be no Mortgage Loan REMICs and, accordingly, no REMIC Declarations, and all references in this Agreement to “REMIC Declaration” and “REMIC Declarations” shall be disregarded.

REMIC Declaration. With respect to the 800 Xxxxx Xxxxxx REMIC or the 800 Xxxxx Xxxxxx Mortgage Loan, the 800 Xxxxx Xxxxxx REMIC Declaration.

REMIC Declaration. (a) With respect to the Alabama Hilton Portfolio REMIC or the Alabama Hilton Portfolio Mortgage Loan, the Alabama Hilton Portfolio REMIC Declaration, and (b) with respect to the Residence Inn Xxxxxxxx XXXXX or the Residence Inn Xxxxxxxx Mortgage Loan, the Residence Inn Xxxxxxxx XXXXX Declaration.

Examples of REMIC Declaration in a sentence

• Prior to the applicable Distribution Date, the Master Servicer shall withdraw from the Collection Account and remit to the Certificate Administrator on the applicable Master Servicer Remittance Date for deposit in the Loan REMIC Residual Distribution Account amounts deemed distributed on the Loan REMIC Residual Interest from the Loan REMIC pursuant to the related REMIC Declaration prior to the Determination Date for the applicable Collection Period.

• The GACC MGM Grand & Mandalay Bay REMIC Declaration designates the GACC MGM Grand & Mandalay Bay REMIC Regular Interest as a “regular interest” in such MGM Grand & Mandalay Bay REMIC within the meaning of Section 860(G)(a)(1) of the Code and the GACC MGM Grand & Mandalay Bay REMIC Residual Interest as the sole class of “residual interests” in such MGM Grand & Mandalay Bay REMIC within the meaning of Section 860G(a)(2) of the Code.

• Amounts (other than Excess Interest) deposited into and withdrawn from the Collection Account in respect of the CREFI MGM Grand & Mandalay Bay Mortgage Loan Portion and the GACC MGM Grand & Mandalay Bay Mortgage Loan Portion shall be deemed to be distributed in respect of the related MGM Grand & Mandalay Bay Trust REMIC Regular Interest and the related MGM Grand & Mandalay Bay REMIC Residual Interest in accordance with the related REMIC Declaration.

• Amounts deposited into and withdrawn from the Collection Account in respect of the 800 Xxxxx Xxxxxx Mortgage Loan shall be deemed to be distributed in respect of the Loan REMIC Regular Interest and the Loan REMIC Residual Interest in accordance with the related REMIC Declaration.

• The “latest possible maturity date” for purposes of Code Section 860G(a)(1) of (i) each Loan REMIC Regular Interest is the date set forth in the related REMIC Declaration and (ii) the Lower-Tier Regular Interests, the Non-Vertically Retained Regular Certificates and the Class VRR Upper-Tier Regular Interest is the Rated Final Distribution Date.

• The “latest possible maturity date” for purposes of Code Section 860G(a)(1) of (i) the Loan REMIC Regular Interest is the date set forth in the related REMIC Declaration and (ii) the Lower-Tier Regular Interests, the Regular Certificates and the Uncertificated VRR Interest is the Rated Final Distribution Date for the rated Certificates.

• The Closing Date is hereby designated as the “Startup Day” of each Trust REMIC, August 17, 2022 is designated in the Centene REMIC Declaration as the Startup Day of the Centene REMIC, November 1, 2022 is designated in the 1516 Motor Parkway REMIC Declaration as the Startup Day of the 1516 Motor Parkway REMIC, and April 7, 2023 is designated in the 500 Delaware REMIC Declaration as the Startup Day of the 500 Delaware REMIC, in each case, within the meaning of Code Section 860G(a)(9).

• Pursuant to the 000 Xxxxxx Xxxxxx Pari Passu REMIC Declaration, an election will be made by the Trustee to treat the segregated pool of assets consisting of the 000 Xxxxxx Xxxxxx Pari Passu Loan and all proceeds thereof or any real or personal property acquired with respect thereto as a REMIC (the "111 Eighth Avenue Pari Passu Loan REMIC") under the Code, other than any portion of the foregoing amounts allocable to a B Note or Serviced Companion Mortgage Loan.

• We last inspected the service on 16, 21 August, 18, 19 September and 2 October 2017 and at that time identified breaches in nine of the Health and Social Care Act 2008 (Regulated Activities) Regulations 2014.

• Amounts deposited into and withdrawn from the Collection Account in respect of any Loan REMIC Held Mortgage Loan shall be deemed to be distributed in respect of the related Loan REMIC Regular Interest in accordance with the related REMIC Declaration.

Because the Trust Fund will not include any Loan REMIC Held Mortgage Loan as of the Closing Date, there will be no REMIC Declaration. Accordingly, all references in this Agreement to “REMIC Declaration” shall be disregarded.
