During the ten (10) day period commencing one hundred twenty (120) days prior to the end of the initial term, either party may give written notice (a "Renewal Request") to the other party requesting that such other party give a Renewal Notice.
No later than ninety (90) days prior to the end of the initial term, the recipient of a Renewal Request shall give to the requesting party either, in its sole discretion: (i) a Renewal Notice or (ii) a written notice (a "Non-Renewal Notice") stating it is not electing to renew the term of this Agreement.
Any recipient of a Renewal Request that fails to send either a Renewal Notice or a Non-Renewal Notice in accordance with the immediately preceding sentence shall be deemed to have given a Renewal Notice.
