Representation of Officers. Any certificate signed by an officer of the Company and delivered to the Representative or to counsel for the Representative shall be deemed to be a representation and warranty by the Company to the Underwriters as to the matters set forth therein. The Company acknowledges that the Underwriters and, for purposes of the opinions to be delivered pursuant to Section 6 hereof, counsel to the Company, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
Representation of Officers. Any certificate signed by any officer of the Company or any Guarantor and delivered to the Underwriters or counsel for the Underwriters as required or contemplated by this Agreement shall constitute a representation and warranty hereunder by the Company or any Guarantor, as applicable, as to matters covered thereby, to each Underwriter.
Representation of Officers. Any certificate signed by any officer of the General Partner on behalf of BIP and delivered to the Underwriters or counsel for the Underwriters as required or contemplated by this Agreement shall constitute a representation and warranty hereunder by BIP, as to matters covered thereby, to each Underwriter.
Representation of Officers. The officer’s certificates delivered to the Representatives as required or contemplated by Section 5 hereof shall constitute representations and warranties hereunder by the Company, as to matters covered thereby or as excluded from or disclosed against therein, to each Underwriter.
Representation of Officers. Any certificate signed by an officer of BEPC or the General Partner on behalf of the Partnership and delivered to the Underwriters or counsel for the Underwriters as required or contemplated by this Agreement shall constitute a representation and warranty hereunder by BEPC and the Partnership, as applicable, as to matters covered thereby, to each Underwriter.

(ggg) PRC Representations and Warranties.

Any certificate signed by any officer of such Selling Shareholder and delivered to the Representative or counsel for the Underwriters as required or contemplated by this Agreement shall constitute a representation and warranty hereunder by such Selling Shareholder, as to matters covered thereby, to each Underwriter.
(c) Xxx Xxxx (the "CONTROLLING PERSON"), the chairman, chief executive officer and a beneficial owner of the Company, in his capacity as an individual, represents and warrants to, and agrees with, the several Underwriters that:

Any certificate signed by any officer of the Company and delivered to the Initial Purchaser or counsel to the Initial Purchaser in connection with the offering shall be deemed a representation and warranty by the Company, as to matters covered thereby, to the Initial Purchaser.
Representation of Officers. Any certificate signed by any officer of the Company and delivered to the Representatives or counsel to the Underwriters in connection with the offering of the Shares represented by ADSs shall be deemed a representation and warranty by the Company, as to matters covered thereby, to each Underwriter.

Any certificate signed by any officer of the Issuer and delivered to the Managers or counsel for the Managers as required or contemplated by this Agreement shall constitute a representation and warranty hereunder by the Issuer, as to matters covered thereby, to each Manager.
