Representation or Warranty. A representation or warranty when made or repeated or deemed to have been made or repeated by a Party to this EECS Certificates Master Agreement or an Individual Contract or by its Credit Support Provider in a Credit Support Document proves to have been incorrect or misleading in any material respect when made or repeated or deemed to have been made or repeated.

Examples of Representation or Warranty in a sentence

  • Materially incorrect Representation or Warranty and not corrected in 60 days 2 3.

  • There is no further recourse to the relevant Originator in respect of a breach of a Representation or Warranty.

  • It shall constitute an event of default (“Event of Default”) by either Party hereunder if: Representation or Warranty.

  • If a breach of a Representation or Warranty arises in respect of any Mortgage Loan and (in either case) no repurchase requirement arises in respect of the Seller pursuant to this Clause 8 (Warranties and Repurchase by the Seller), neither the Mortgages Trustee, Funding nor the Security Trustee shall have any claim against the Seller in respect of, or in relation to, such breach of Representation or Warranty in relation to that Mortgage.

  • There is no further recourse to the Seller in respect of a material breach of a Representation or Warranty.

  • If any Representation or Warranty is qualified by knowledge, then it means that the Representation or Warranty has been made to the best knowledge of the Warrantors, after the Warrantors have made and caused to be made such due and proper inquiries as may be required in respect of the relevant matter to obtain informed knowledge.

  • This may result in the CBC having insufficient funds available to meet its obligations under the Guarantee and this may result in losses under the Covered Bonds.There is no further recourse to the relevant Originator in respect of a breach of a Representation or Warranty.

  • After the Seller becomes aware of any material breach of any Representation or Warranty in respect of any Loan and/or its Related Security (or where such Representation and Warranty is already qualified in its terms by reference to materiality, any breach of any such Representation and Warranty), it shall notify the Mortgages Trustee, Funding and the Security Trustee in writing thereof as soon as reasonably practicable.

  • After the Seller becomes aware of any material breach of any Representation or Warranty in respect of any Loan and/or its Related Security (or where such Representation and Warranty is already qualified in its terms by reference to materiality, any breach of any such Representation and Warranty), it shall notify the Mortgages Trustee, Funding 1 and the Funding 1 Security Trustee in writing thereof as soon as reasonably practicable.

  • If the Merchant is in breach of a Representation or Warranty and if (and as far as) PayPal has received on a Merchant Receivable an amount as per section 5., last paragraph, in an amount of the respective Merchant Receivable and if PayPal has terminated the use of Rechnungskauf mit Ratepay by the Merchant or in full, PayPal shall reassign the Merchant Receivable back to the Merchant as far as legally permissible.

Related to Representation or Warranty

  • Warranty means any one of them.

  • Representation means any representation as to fact or law, including a representation as to the state of mind of—

  • Representations and Warranties means the representations and warranties mentioned in Clause 4 hereto;

  • Representations means the written Representations and Warranties provided by Borrower to Silicon referred to in the Schedule.

  • Fundamental Representations and Warranties means the representations and warranties contained in Sections 3.1, 3.2, 3.6, 4.1 and 4.

  • Warranties - means collectively any and all warranties (if any) given by the Bidder in terms of this agreement.

  • Purchaser Warranties shall have the meaning ascribed to the term in Clause 8.1;

  • Seller Warranties shall have the meaning ascribed to the term in Clause 7.1.

  • Repeating Representations means each of the representations set out in Clauses 22.1 (Status) to 22.6 (Governing law and enforcement), Clause 22.9 (No default), Clause 22.13 (No proceedings pending or threatened), Clause 22.19 (Legal and beneficial owner) and Clause 22.20 (No winding up).

  • Excluded Representations has the meaning set forth in Section 7.3(a).

  • materiality means the point at which the net asset value of the Share class is impacted to the extent described in Section 2.04(a)(iii) below;

  • Seller’s Warranties means Seller’s representations and warranties set forth in Section 9.2 and the Closing Documents executed by Seller, as such representations and warranties may be deemed modified or waived by Buyer pursuant to the terms of this Agreement.

  • Major Representation means a representation or warranty with respect to the Borrower or the Merger Sub only under any of Clause 18.2 (Status) to Clause 18.6 (Validity and admissibility in evidence) inclusive.

  • Representation Date shall have the meaning ascribed to such term in Section 4(k).

  • Company Representations means the representations and warranties of the Company expressly and specifically set forth in Article IV of this Agreement, as qualified by the Schedules. For the avoidance of doubt, the Company Representations are solely made by the Company.

  • Express warranty means an express warranty as set forth in sections 4-2-313 and 4-2.5-210, C.R.S. An express warranty shall cover every part of a new facilitative device.

  • Purchaser’s Warranties means the warranties and representations given by the Purchaser pursuant to Clause 5.2 and Schedule 5.2;

  • Representation Agreement means a contract entered into between an Agent and an Athlete or between an Agent and a Club.

  • Specified Representations means the representations and warranties of the Borrower and set forth in Sections 5.01(a) (solely as it relates to the Loan Parties), 5.01(b)(ii), 5.02 (other than 5.02(b)), 5.04, 5.12, 5.15, 5.16 (subject to the proviso to Section 4.01(a)(iv)) and 5.20 (limited to the use of proceeds of the Loans on the Closing Date).

  • Deemed Material and Adverse Representation Each representation and warranty identified as such in Section 9.02 of this Agreement.

  • Additional Representation has the meaning specified in Section 3.

  • Manufacturer Warranty means the 3-year/60,000 mile (whichever comes first) warranty that

  • Fundamental Representation has the meaning set forth in Section 9.1.

  • Seller Fundamental Representations means the representations and warranties set forth in Section 6.1 (Organization, Good Standing and Qualification of Seller), Section 6.2 (Authorization; Enforceability), Section 6.10 (Title to Purchased Assets) and Section 6.26 (Brokerage Commission).

  • Perfection Representations means the representations, warranties and covenants set forth in Schedule 1 attached hereto.

  • Limited Warranty means the limited warranties and your coverage provided by IKO for your Shingles as expressly set out in this document, and are the only warranties being provided by IKO.
