Request for an Offer of Extension means (a) with respect to the Canadian Agreement, a written request made by Canadian Borrowers to the Lenders to have Required Lenders issue an offer to Canadian Borrowers extending the Canadian Revolving Period for a further 364 days, and (b) with respect to the US Agreement, a written request made by US Borrower to the Lenders to have Required Lenders issue an offer to US Borrower extending the Tranche B Revolving Period for a further 364 days.

  • Each Canadian Lender hereby waives the requirement under Section 1.6(a) of the Original Agreement that a Request for an Offer of Extension be made by a specific date prior to the current Canadian Conversion Date of June 6, 2003 and further agrees that the date for acceptance by Canadian Borrowers of the Offer of Extension made hereby shall be extended to June 5, 2003, notwithstanding the terms of Section 1.6(b) of the Original Agreement.

Related to Request for an Offer of Extension

  • Notice of Extension/Conversion means the written notice of extension or conversion in substantially the form of Schedule 3.2, as required by Section 3.2.

  • Request for Extension of Credit means a written request substantially in the form of Exhibit A duly completed and signed by a Responsible Officer, or a telephonic request followed by such a written request, in each case delivered to Administrative Agent by Requisite Notice.
