Required Authorisation definition

Required Authorisation means any authorisation, consent, declaration, licence, permit, exemption, approval or other document, whether imposed by or arising in connection with any law, regulation, custom, contract, security or otherwise howsoever which must be obtained at any time from any person, Government Entity, central bank or other self-regulating or supra-national authority in order to enable the Borrowers lawfully to borrow the loan or draw any Advance and/or to enable any Security Party lawfully and continuously to continue its corporate existence and/or perform all its obligations whatsoever whensoever arising and/or grant security under the relevant Security Documents and/or to ensure the continuous validity and enforceability thereof;
Required Authorisation means, in relation to the Generator, each authorisation, licence, accreditation, permit, consent, certificate, resolution, clearance, exemption, order confirmation, permission or other approval of or from any Competent Authority required to enable the Generator:

Examples of Required Authorisation in a sentence

  • The Borrower shall not, and shall not agree to, amend, vary, novate, supplement, modify, suspend, waive or release any term or condition under any: Project Document (including by issuing or accepting a change order under any Project Document, other than any Minor Change Order); or Required Authorisation [(unless such action is required by any Applicable Law)].

  • To the best of its knowledge there are no facts or circumstances which could reasonably be expected to lead to: any Required Authorisation obtained or effected being revoked; or any Required Authorisation not being obtained, renewed or effected when required.

  • The Borrower shall not terminate or repudiate, or allow the termination of, any: Project Document [except any Project Document (other than the Construction Contract, the Supply Contract[s], the O&M Contract, [each][the] Offtake Contract [and [insert others]]) where it has been Replaced]; or Required Authorisation [unless such action is required by any Applicable Law].

  • Any Required Authorisation: is not in full force and effect (whether through failure to obtain, revocation, cancellation, termination or otherwise) at any time when required; or is modified in any way that is reasonably likely to have a Material Adverse Effect.

  • Subject to the Legal Reservations and the applicable Perfection Requirements, the Borrower shall promptly: obtain, comply with and do all that is necessary to maintain in full force and effect; implement the Project in compliance with; and supply certified copies to the Intercreditor Agent of, each Required Authorisation.

Required Authorisation means, in relation to each Party and at any time, each authorisation, licence, accreditation, permit, consent, certificate, resolution, clearance, exemption, order confirmation, permission or other approval of or from any Competent Authority required at such time to enable the relevant Party to perform and comply with its obligations under the DPA and the other DPA Documents and, in the case of the Generator, for the Project;

Required Authorisation means, in relation to each Party and at any time, each licence, accreditation, authorisation, permit, consent, certificate, resolution, clearance, exemption, order, confirmation, permission or other approval of or from any Competent Authority required at such time to enable the relevant Party to perform or fulfil its obligations under the Agreement and, in the case of the Generator, for the Project;
