Required Class B Purchasers definition

Required Class B Purchasers means, at any time, Committed Purchasers having Commitments aggregating more than 66-2/3% of the Total Commitment.
Required Class B Purchasers means Class B Purchasers holding more than 55% of the Class B Commitments (or, if two Class A Purchasers hold more than 55% of the Class B Commitments, at least three Class B Purchasers holding more than 55% of the Class B Commitments).
Required Class B Purchasers means, at any time, Committed Purchasers and Liquidity Purchasers having Commitments aggregating greater than 50% of the Class B Purchase Limit.

  • The Agent and the Administrative Agent shall in all cases be fully protected in acting, or in refraining from acting, under this Agreement or any of the other Related Documents in accordance with a request of the Required Class B Owners and the Required Class B Purchasers and such request and any action taken or failure to act pursuant thereto shall be binding upon all present and future Class B Purchasers.

  • If the Agent shall resign as Agent under this Agreement, then the Required Class B Purchasers and the Required Class B Owners shall appoint from among the Committed Class B Purchasers a successor agent for the Class B Purchasers.

  • The Agent shall take such action concerning a Potential Termination Event as may be directed by the Required Purchasers (or, if otherwise required for such action, all of the Purchasers, or, if a Class B Enforcement Trigger exists, the Required Class B Purchasers), but until the Agent receives such directions, the Agent may (but shall not be obligated to) take such action, or refrain from taking such action, as the Agent deems advisable and in the best interests of the Purchasers and Agent.

  • Except as otherwise expressly provided herein, no amendment or waiver hereof shall be effective unless signed by the Seller, the Servicers, the Agent, the Required Class A Purchasers and the Required Class B Purchasers.

More Definitions of Required Class B Purchasers

Required Class B Purchasers means, the Class B Purchasers having outstanding Class B Notes and unused Class B Commitments representing at least a majority of the sum of the total outstanding Class B Notes and unused Class B Commitments until such time as the Class B Notes are repaid in full.
Required Class B Purchasers means, on any day, Purchasers having, in the aggregate, Class B Voting Percentages of at least 66-2/3%.
Required Class B Purchasers and "REQUIRED CLASS B OWNERS" shall have the respective meanings specified in Section 1.1 of the Class B Certificate Purchase Agreement.

Related to Required Class B Purchasers

  • Required Class Lenders means, with respect to any Class on any date of determination, Lenders having more than 50% of the sum of (i) the outstanding Loans under such Class and (ii) the aggregate unused Commitments under such Facility.

  • Required Noteholders means Holders of Outstanding Notes evidencing more than 66 2/3% of the principal balance of the most senior Class of Notes Outstanding.

  • Required Consenting Noteholders means, as of the relevant date, the Consenting Noteholders then holding greater than fifty and one-tenth percent (50.1%) of the aggregate outstanding principal amount of Senior Notes Claims that are held by all Consenting Noteholders subject to the Restructuring Supporting Agreement as of such date.

  • Initial Class B Note Balance means $129,750,000.
