Compliance with Terms of Required Governmental Approvals and Required Contractual Consents.
All such Required Contractual Consents (and with respect to the Subsequent Material Contracts, such other consents as may be required) shall be in full force and effect and no Proceeding shall have been instituted or threatened with respect thereto that, would have a Material Adverse Effect.
