Required Governmental Authorization definition

Required Governmental Authorization means all material franchises, approvals, permits, consents, qualifications, certifications, authorizations, licenses, orders, registrations, certificates, variances or other similar permits, rights and all pending applications therefor from or with the relevant Governmental Authority required to operate the business of the Company and any of its Material Subsidiaries, as currently conducted, in accordance with applicable Law;
Required Governmental Authorization means any required filing with, or permit, authorization, consent or approval of, any Governmental Entity.

  • The consummation of the transactions contemplated hereby shall not interrupt or give any Governmental Authority the right to materially modify, terminate or interrupt the continuation of any Required Governmental Authorization or the conduct of the Business, in each case, solely as a result of the consummation of the transactions contemplated hereby, except for any such modification, termination or interruptions caused by Parent’s or its Affiliates’ direct or indirect ownership of the Company.
