This Agreement may be amended or modified in writing by the Manager, subject to the prior written consent of the Requisite Members.
Any provision of this Agreement may be amended or waived by the written consent of the Requisite Members.
The Plan and any exhibits, supplements, appendices, or other documents related thereto may not be modified in any way that adversely affects the distributions, recovery, treatment, classification, or other rights or entitlements of the Noteholder Steering Committee (either as a group or individually) without the consent of the Requisite Members of the Noteholder Steering Committee (or the affected Noteholder Co-Proponent, as applicable).
For the avoidance of doubt, nothing herein shall limit the Requisite Members of the Noteholder Steering Committee’s right to terminate this Agreement pursuant to Section 9.2.
Upon any such notice of resignation by Windward (or any such successor thereof), the Requisite Members shall appoint a successor agent.
