  • Notwithstanding any other provision of this Note (other than the adjustments to the Conversion Price set forth in Section 8.06 of the Convertible Note Agreement), the Interest Rate and Conversion Price in effect on the date such Resale Notice is received by the Company shall be the Interest Rate and Conversion Price for the Note from the date such Resale Notice is received by the Company until the Maturity Date (and thereafter).
