Reserved Employees definition

Reserved Employees means the employees of the Hotel/Casino that are listed on Exhibit S hereto.
Reserved Employees means, as it relates to each Seller, the employees of such Seller’s Property that are listed on Section 8.4 of each Seller Disclosure Letter.
Reserved Employees means the employees of the Casino that are listed in Section 14.1(e) of the Company Disclosure Letter.

  • Sellers and the Company shall, to the fullest extent permitted by Law (including antitrust Laws and Gaming Laws), provide up to four (4) Representatives designated by Buyer (the “Designated Buyer Representatives”) with reasonable access to the Reserved Employees during normal business hours, and shall use their reasonable best efforts to assist the Designated Buyer Representatives in familiarizing themselves with the operation of the Business.

  • To carry out the purposes of this Section 8.3(a), not less than ten (10) days prior to the Closing Date, CC Buyer shall extend written offers of employment, on terms substantially similar to the terms of their current employment with CCI, to all of the Property Employees employed by CCI as of such date, including individuals who are on any type of leave or disability, other than the Reserved Employees.

  • Those Employees whom Seller elects to retain following the Closing are referred to as the "Transferred Employees", and those Employees which Purchaser elects to reserve the right to terminate from and after the Closing are referred to as the "Reserved Employees".

  • Designated Employees means a person occupying any of the following position in the Company:

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Key Employees means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxx.

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Eligible Employees means each employee of the Company or an Affiliate.

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Covered Employees means all employees and agents of the Company who are responsible for performing, supervising, overseeing, or managing activities related to the maintenance of online political files, as required by the Political Record- Keeping Statute and Rule.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Incentive Compensation Plans means annual incentive compensation plans and long‑term incentive compensation plans of the Company, which long‑term incentive compensation plans may include plans offering stock options, restricted stock and other long‑term incentive compensation.

  • Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.

  • Compensation Plans shall have the meaning set forth in Section 3.8(b).

  • Relevant Employees means the employees who may be affected by a change referred to in subclause (1).
