Responding Partner definition

Responding Partner has the meaning ascribed thereto in Section 16.11 of this Agreement.
Responding Partner means the ROFO Responding Partner or the Buy/Sell Responding Partner, as applicable.
Responding Partner is defined in Section 8.4(a).

Examples of Responding Partner in a sentence

  • The Partner(s) receiving such notice (the "Responding Partner", whether one or more) shall have five (5) business days within which to designate by written notice to the Initiating Partner, one or more individuals with authority to settle the Dispute on such Partner's behalf.

  • The failure of the Buy/Sell Responding Partner to give such a responsive notice under Section 16.2 (without qualification or condition) by the Buy/Sell Response Deadline Date shall be deemed notice of an election to sell the Property or Properties, as may be applicable, that are the subject of the Buy/Sell Offering Notice under Section 16.1 above on the Buy/Sell Response Deadline Date.

More Definitions of Responding Partner

Responding Partner has the meaning set forth in Section 15.1.
Responding Partner shall exclude the Class C Partner, whether or not such Partner has converted its Class C Partnership Interests into Class D Partnership Interests as provided in Section 6.2, has exercised the Warrant or has acquired additional Partnership Interests pursuant to Section 6 of the Class C Subscription Agreement) or sell its Class A or Class D Partnership Interest to the Responding Partner upon the following terms:
Responding Partner means TCI, if FHGLP is the Offering Partner, and FHGLP, if TCI is the Offering Partner.

Related to Responding Partner

  • Responding Party has the meaning set forth in Section 7.02(a).

The term does not include an individual who:

  • Responder means a vendor who responds to a Solicitation.

  • Alliance Partner means "Flatworld Trading Pvt Ltd ", who has entered into an alliance agreement with Axis Bank for purpose of providing the Offer.
