Rest of Territory definition

Rest of Territory or “ROT” means all countries and territories of the world including the United States, but excluding Asia-Pacific and Europe.
Rest of Territory means, collectively, all countries and territories in the Territory except for North America, Europe and Japan.
Rest of Territory means the countries in the Territory outside of the European Union and the United States.

  • Notwithstanding the transition to Otsuka or a third party designated by Otsuka of Product promotion or some other Product-related functions in any country in the European Union or the Rest of Territory, in accordance with Paragraphs 3.1, 3.2 or 3.3 above, BMS and Otsuka shall continue to share Net Sales in each such country in accordance with the Restated Agreement (including the agreed allocation set forth therein).

  • In the event of the institution of any suit by a third party against BMS or Otsuka for patent infringement involving the manufacture, sale, distribution or marketing of Product in the Rest of Territory, BMS shall promptly notify Otsuka in writing of such suit.

  • For the sake of clarification, with respect to all commercial requirements in the United States and the Rest of Territory, BMS, its Affiliates and Sublicensees shall be responsible for formulating (in Bulk Tablet formulation and all other formulations) through packaging, at their expense, Product, and Otsuka shall have no obligation to manufacture the Compound into any form of Product.

  • When appropriate, closer to the actual commencement of Commercialization, the JCC shall also consider, modify as it deems appropriate, and approve specific marketing plans for each Co-Promotion Country (and other countries it deems appropriate) within the European Union and specific marketing plans for the Rest of Territory as the JCC deems appropriate.

  • In respect of Net Sales in all countries in the Rest of Territory, BMS shall, in accordance with Sections 5.9.2 and 5.9.3, be obligated to Otsuka with respect to payment of royalties on all Net Sales of Product by BMS and its Affiliates and Sublicensees, such payments being due each calendar quarter within sixty (60) days of the end of each such quarter.

  • After the Restated Agreement Date, in anticipation of the commencement of Product Commercialization, the parties contemplate restating this Agreement into a master agreement and four (4) regional agreements, such regional agreements pertaining, respectively, to the United States, the Rest of Territory, the European Union Co-Promotion Countries and the European Union distribution countries.

  • As provided below, BMS has an exclusive license to Commercialize Product in the Rest of Territory (countries in the Territory outside the United States and the European Union).

  • U.S. Territory means American Samoa, the Commonwealth of the Northern Mariana Islands, Guam, the Commonwealth of Puerto Rico, or the U.S. Virgin Islands.

  • Licensed Territory means worldwide.

  • Relevant Territory means Hong Kong or such other territory as the Directors may from time to time decide if the issued ordinary share capital of the Company is listed on a stock exchange in such territory;

  • Territory means worldwide.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Union territory means the territory of—

  • Service Territory means the geographic area within which PG&E as a Utility Distribution Company is authorized and required to provide electric transmission and distribution service.

  • Exclusive Territory means (1) the states of Illinois, Wisconsin, and Indiana; and

  • Licensed Product means a product or part of a product in the Licensed Field of Use: (A) the making, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent; or (B) which is made with, uses or incorporates any Technology.

  • Sales territory means an area of exclusive sales responsibility for the brand or brands of beer sold by a supplier as designated by an agreement.

  • Royalty Term means, on a country-by-country basis, the period commencing on the First Commercial Sale of a Licensed Product in a country and ending on the latest of (a) ** thereafter, (b) expiration of the last-to-expire Valid Claim of a Licensed Patent that Covers the composition of matter of the Licensed Product in the country in which it is sold, or (c) the expiration of all Regulatory Exclusivity Rights with respect to such Licensed Product in the country in which it is sold.

  • Licensed Field means [***].

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • End of Term Extension means the time period defined in §2.D.

  • Major Market Countries means the United States, Japan, England, Germany, France, Italy and Spain.

  • Coverage territory means the United States of America (including its territories and possessions), Puerto Rico and Canada.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Net Sales means [***].

  • Sanctioned Territory means a country or territory that is the subject of comprehensive economic Sanctions including, without limitation, Cuba, Iran, North Korea, Syria and the Crimea.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • customs territory means the territory of the country of each Contracting Party in which the Customs laws of that country are in force;

  • Geographic Territory means the United States of America, including all of its territories and possessions, unless otherwise specified.

  • licensed activities means things authorised to be done by the licence

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Collaboration Term has the meaning set forth in Section 2.1(h).

  • Patent Term Extension means any term extensions, supplementary protection certificates and equivalents thereof offering Patent protection beyond the initial term with respect to any issued Patents.
