Restricted Stock Plans definition

Restricted Stock Plans means any Plan of the Company that allows the award of restricted shares.

Restricted Stock Plans means collectively, (i) the Company's 1995 Stock Incentive Plan and (ii) comparable plans providing for the issuance of Capital Stock of the Company to officers, directors and employees of the Company and its Subsidiaries having terms similar to the foregoing, each as amended from time to time by a resolution of the Board of Directors of the Company or a duly authorized committee thereof.

Restricted Stock Plans shall have the meaning set forth in Section 2.6.

• The Committee shall review and approve all awards under the corporation’s Stock Option Plans and Restricted Stock Plans.

• If he is accepted for such benefits, then the terms and provisions of the Company's benefit plans and the programs (including the Company's Stock Option and Restricted Stock Plans) that are applicable in the event of such disability of an employee shall apply in lieu of the salary and benefits under this Agreement, except that he will be entitled to the lifetime group insurance benefits described in paragraph 10.

• Immediately prior to the Effective Time, if the conditions to Article VI are satisfied, EKCO shall cause the Plan Administrator of the Restricted Stock Plans to cause all shares of Restricted Stock outstanding as of the Effective Time to be fully vested and non-forfeitable.

• The parties to this Agreement consent to the action of the Plan Administrator of the Restricted Stock Plans referenced in the immediately preceding sentence, agree that they will not cause the revocation of such action and will use their reasonable best efforts to cause the Restricted Stock as to which a valid Restricted Stock Election has been made to be deemed to have been tendered in the Offer.

• The Company Board (or, if appropriate, any committee thereof administering the Restricted Stock Plans) shall adopt such resolutions or take such other actions as may be required to effect the foregoing.

More Definitions of Restricted Stock Plans

Restricted Stock Plans means restricted stock plans in connection with which the Borrower and its Subsidiaries make payments to LMC and its Affiliates in consideration for securities of LMC issued to employees of the Borrower and its Subsidiaries, as provided for in the Restricted Stock Award Agreements between LMC and employees of the Borrower and its Subsidiaries, dated November 12, 2003.

Restricted Stock Plan, (iii) the Company's 1984 Employee Stock Purchase Plan, (iv) the Incentive Compensation Plan for Executive Employees of Ekco Group, Inc. and its Subsidiaries and (v) comparable plans providing for the issuance of Capital Stock of the Company to officers, directors and employees of the Company and its Subsidiaries having terms similar to the foregoing, each as amended from time to time by a resolution of the Board of Directors of the Company or a duly authorized committee thereof.

Restricted Stock Plans means collectively the following as amended from time to time, (i) The 1984 Ekco Group, Inc. Restricted Stock Plan, (ii) The 1985 Ekco Group, Inc. Restricted Stock Plan, (iii) Ekco Group Inc.'s 1984 Employee Stock Purchase Plan, (iv) the 1995 Restatement of the Incentive Compensation Plan for Executive Employees of Ekco Group, Inc. and its Subsidiaries, and (v) comparable plans providing for the issuance of capital stock of Borrower to officers, directors and

Restricted Stock Plans the Media General, Inc. Restricted Stock Plan, effective May 17, 1991 and the Media General, Inc. Restricted Stock Plan for Non-Employee Directors, effective May 19, 1995, as such plans are in effect on the date of this Agreement.

Restricted Stock Plans means the Vectren Corporation Executive Restricted Stock Plan, Vectren Corporation Directors Restricted Stock Plan and Vectren At-Risk Plan.
