Retained Names definition

Retained Names means the Trademarks set forth on Schedule 1.01(i), and any Trademarks related thereto or containing or comprising the foregoing, including any Trademarks derivative thereof or confusingly similar thereto.

Retained Names has the meaning set forth in Section 2.2(e).

Examples of Retained Names in a sentence

• Buyer and its Affiliates shall not apply to register or register any of the Trademarks forming a part of or associated with the Retained Names.

• Buyer and its Affiliates, other than the Transferred FH Companies and their Closing Subsidiaries, shall have no right to use any of the Retained Names.

• Except as otherwise provided in this Section 5.7, Buyer shall use commercially reasonable efforts to cease and discontinue all uses of the Retained Names immediately upon the Closing.

• Spence-Chapin’s foreign providers will typicallymake arrangements with travel vendors (such as hotels, transportation, etc.) on client’s behalf and breakdown estimated travel expenses; however, Spence-Chapin cannot guarantee or predict actual cost of travel.

• From and after the Closing, except as expressly provided in this Section 5.15, any and all rights of the Business Companies to use the Retained Names shall terminate as of the Closing and shall immediately revert to Parent and its Affiliates (other than the Business Companies), along with any and all goodwill associated therewith.

More Definitions of Retained Names

Retained Names has the meaning set forth in Section 6.2(a)(2).

Retained Names means (a) the Pfizer trademark, name and brand, (b) the Wyeth trademark, name and brand, (c) all Trademarks owned or used by Seller Parent or any of its Affiliates other than the Business Trademark Rights, and (d) all Trademarks containing, comprising, or related to any of the foregoing, including (i) all Trademarks that are variations or derivatives thereof or confusingly similar thereto, and (ii) all Internet Identifiers and telephone numbers or other alphanumeric addresses or mnemonics containing any of the foregoing. Notwithstanding anything in this Agreement to the contrary, Retained Names expressly includes those Trademarks set forth in Section 1.1(E) of the Seller Disclosure Letter.

Retained Names means the Trademarks set forth in Section 1.219 of the Amber Disclosure Schedules, and any Trademarks related thereto or containing or comprising any of the foregoing, including any Trademarks derivative thereof or confusingly similar thereto, or any telephone numbers or other alphanumeric addresses or mnemonics containing any of the foregoing.

Retained Names means the Trademarks set forth in Section 1.1(I) of the Seller Disclosure Letter (including the Hospira Marks), and any Trademarks related thereto or containing or comprising any of the foregoing, including any Trademarks derivative thereof or confusingly similar thereto, or any telephone numbers or other alphanumeric addresses or mnemonics containing any of the foregoing. For clarity, Retained Names shall not include the MedNet Rights.

Retained Names means the Trademarks set forth in Section 5.7 of the Seller’s Disclosure Letter, and any Trademarks related thereto or containing or comprising any of the foregoing, including any Trademarks derivative thereof or confusingly similar thereto, or any telephone numbers or other alphanumeric addresses or mnemonics containing any of the foregoing.

Retained Names has the meaning specified in Section 7.6(a).

Retained Names means the names and marks set forth in Section 1.1(g) of the Transferor Disclosure Schedules and any name or xxxx derived from, similar to or including any of the foregoing (in each case, in any style or design).
