If you revoke the release of claims set forth above or if this Updated Release does not become effective, then the Retirement Agreement shall remain in full force and effect, including Section 16(b) of the Retirement Agreement.
You acknowledge that in signing this Retirement Agreement you have relied only on the promises written in this Retirement Agreement and on no other promise made by the Company or its affiliates.
Except as otherwise explicitly provided, this Retirement Agreement will be interpreted and enforced in accordance with the laws of the state of Florida, and the parties hereto, including their successors and assigns, consent to the jurisdiction of the state and federal courts of Orange County, Florida.

For the avoidance of doubt, if you revoke the release of claims set forth above or if this Updated Release does not become effective, then in accordance with Section 16(b) of the Retirement Agreement, you agree and acknowledge that: (i) Ameris is not obligated to pay to you the Normal Retirement Benefit, any portion thereof or any other amounts under the SERP; and (ii) you waive any and all rights to receive the Normal Retirement Benefit, any portion thereof or any other amounts under the SERP.
