Retirement Exercise Period definition

Retirement Exercise Period is defined in Section 4(b).
Retirement Exercise Period means the period of time extending from the date of the Participant’s Date of Retirement, as applicable, to the earlier of: (i) the date that is six months following the date of the Participant’s Date of Retirement, as applicable; and (ii) the Expiry Date. Should the Retirement Exercise Period terminate on a date other than a Trading Day, the Retirement Exercise Period shall terminate on the Close of Business on the last Trading Day prior to that date;

  • If you engage in Detrimental Activity while employed with the Company or its Subsidiaries or within your Retirement Exercise Period, this Non-Qualified Option will immediately and automatically expire and terminate and the Committee may rescind any exercise that you made under this option within the period beginning six months prior to your termination by Retirement and ending on the expiration of your Retirement Exercise Period.

  • In the event an optionee dies during the Retirement Exercise Period or the Disability Exercise Period, such Stock Option may be exercised by the person or persons entitled thereto under the optionee’s will or the laws of descent and distribution to the extent exercisable by the optionee at the date of death and to the extent the term of the Option Period has not expired within such Retirement Exercise Period or Disability Exercise Period.

  • In the event of (A) Participant's death prior to the date that the Participant attains the age of 60 years, or (B) Participant's Early Retirement, all unvested Options will be forfeited immediately, provided that any vested Options credited to the Participant's account immediately prior to the time of Participant's death or retirement, as applicable, may continue to be exercised or surrendered by Participant during the Death or Retirement Exercise Period.

  • Any vested SARs that are not exercised by Participant during the Death or Retirement Exercise Period shall be forfeited and cancelled on the last day of the Death or Retirement Exercise Period.

  • Any vested Options that are not exercised or surrendered by Participant during the Death or Retirement Exercise Period shall be forfeited and cancelled on the last day of the Death or Retirement Exercise Period.

  • In the event of (A) Participant's death prior to the date that the Participant attains the age of 60 years, or (B) Participant's Early Retirement, all unvested SARs will be forfeited immediately, provided that any vested SARs credited to the Participant's account immediately prior to the time of such Termination of Service may continue to be exercised by Participant during the Death or Retirement Exercise Period.

Related to Retirement Exercise Period

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Option Exercise Period has the meaning set forth in Section 6.4.

  • Post-Termination Exercise Period means the period following termination of a Participant’s Continuous Service within which an Option or SAR is exercisable, as specified in Section 4(h).

  • Exercise Period means the period commencing on the Issuance Date and ending on 5:00 p.m. eastern standard time on the five-year anniversary thereof.

  • Initial Exercise Date shall have the meaning ascribed to such term in the Preamble.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Optional Termination Price On any date after the Initial Optional Termination Date, an amount equal to the sum of (A) the aggregate Stated Principal Balance of each Mortgage Loan (other than any Mortgage Loan that has become an REO Property) as of the Distribution Date on which the proceeds of the Optional Termination are distributed to the Certificateholders, plus accrued interest thereon at the applicable Mortgage Rate as of the Due Date preceding the Distribution Date on which the proceeds of the Optional Termination are distributed to Certificateholders and the fair market value of any REO Property, plus accrued interest thereon as of the Distribution Date on which the proceeds of the Optional Termination are distributed to Certificateholders, (B) any unreimbursed out-of-pocket costs and expenses owed to the Master Servicer, the Trustee or the Securities Administrator (including any amounts incurred by the Securities Administrator in connection with conducting the Auction), a Servicer or the Master Servicer and any unpaid or unreimbursed Servicing Fees, Monthly Advances and Servicing Advances, (C) any unreimbursed costs, penalties and/or damages incurred by the Trust Fund in connection with any violation relating to any of the Mortgage Loans of any predatory or abusive lending law and (D) in the event an Auction has been conducted, all reasonable fees and expenses incurred by the Securities Administrator to conduct the Auction.

  • Option Exercise Date has the meaning specified in Section 2.1.

  • Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).

However, if (i) the Employee is eligible to retire at age fifty-nine (59) after ten (10) Years of Service, (ii) the Employee gives two (2) years notice at age fifty-eight (58) that the Employee intends to retire at age sixty (60), and (iii) the Employee terminates employment upon reaching age sixty (60), then the Employee’s retirement at age sixty (60) would constitute a Qualifying Retirement.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.
