Return of Information. Retailer agrees that OCRC shall have the right to demand at any time the immediate return of the Information and any and all copies thereof, if any, in the possession of Retailer and Retailer shall forthwith return the same. In the event that Retailer determines that it does not wish to pursue any further discussions, investigations and evaluations or enter into further business arrangements with OCRC in connection with the Project, it will promptly inform OCRC of that decision. Upon OCRC’s request, Retailer shall promptly return to OCRC all Information together with any and all copies thereof and will promptly destroy any and all memoranda, notes, reports, documents, and software containing copies, extracts or reproductions thereof in its possession, power or control. Upon request, Retailer will certify the return and/or destruction of the Information by a certificate of one of its senior officers. The return of such documents and Information shall in no event relieve Retailer of its obligations of confidentiality set out in this Agreement with respect to such returned Information.
Return of Information. If this agreement is terminated for any reason, the Purchaser shall promptly return to each Vendor all copies of the relevant Vendor's Business Records, and all other written or recorded information relating to that Vendor's Business, which the Purchaser has obtained from that Vendor, and thereafter each party: (a) shall maintain confidentiality in respect of all information provided by the other party prior to or following execution of this agreement; and (b) shall not use any such information for any purpose or disclose any such information to any other person without the prior written consent of the party from whom the information was obtained. The provisions of this clause do not affect the provisions of any other confidentiality agreement between the parties or their Related Companies relating to the Transactions.
Return of Information. At the Principal’s request, the Agent must return to the Principal or destroy (at the Principal’s option) all Confidential Information in the Agent’s control.

If any such Data is incorrect or omit anything it should include, you should inform us in writing immediately.(d) You acknowledge that processing of any Electronic Instructions received via the ERP Linked Services is subject to successful receipt of such Electronic Instruction by us from the ERP Provider. We shall have no responsibility or liability where you submit any Electronic Instruction through the ERP Platform but such Electronic Instruction is not successfully received by us.(e) Receipt by us of any Electronic Instruction issued or purporting to be issued by you in connection with the ERP Linked Services will constitute full and unconditional authority to us to carry out or act upon that Electronic Instruction, and we shall not be bound to investigate or enquire as to the authenticity of any such Electronic Instruction unless we have received prior written notification from you which casts doubt on its validity.

  • Electronic and Information Resources means information resources, including information resources technologies, and any equipment or interconnected system of equipment that is used in the creation, conversion, duplication, or delivery of data or information. The term includes telephones and other telecommunications products, information kiosks, transaction machines, Internet websites, multimedia resources, and office equipment, including copy machines and fax machines.

  • Information Provider means the person or organisation providing the Information under this licence.

  • Authority's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Authority, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;

  • Corporation Information means all information, knowledge or data of or pertaining to (i) the Corporation, its employees and all work undertaken on behalf of the Corporation, and (ii) any other person, firm, corporation or business organization with which the Corporation may do business during the Term, that is not in the public domain (and whether relating to methods, processes, techniques, discoveries, pricing, marketing or any other matters).

  • Tax Information means information and/or properly completed and signed tax certifications sufficient to eliminate the imposition of or to determine the amount of any withholding of tax, including FATCA Withholding Tax.

  • Customer's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Customer, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;

  • Information Resources means any and all computer printouts, online display devices, mass storage media, and all computer-related activities involving any device capable of receiving email, browsing Web sites, or otherwise capable of receiving, storing, managing, or transmitting Data including, but not limited to, mainframes, servers, Network Infrastructure, personal computers, notebook computers, hand-held computers, personal digital assistant (PDA), pagers, distributed processing systems, network attached and computer controlled medical and laboratory equipment (i.e. embedded technology), telecommunication resources, network environments, telephones, fax machines, printers and service bureaus. Additionally, it is the procedures, equipment, facilities, software, and Data that are designed, built, operated, and maintained to create, collect, record, process, store, retrieve, display, and transmit information.

  • Keeping information confidential means using discretion in disclosing information as well as guarding against unlawful or inappropriate access by others. This includes:

  • FATCA Information means, with respect to any Certificateholder or Holder, any form or other certification, or such other information reasonably sufficient to eliminate the imposition of, or determine the amount of, FATCA Withholding Tax.

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

  • Customer Usage Information means information regarding the historical electricity consumption of a Customer;

  • Portfolio Information means confidential and proprietary information of the Fund, the Adviser or the Sub-Adviser that is received by a party hereto in connection with this Agreement, and information with regard to the portfolio holdings, investment activity and characteristics of the Fund.
