Revenue Event definition

Revenue Event means income, revenue, reimbursements, proceeds or other payment of any kind or nature under or pursuant to, or in connection with, any Reimbursement Contract.
Revenue Event occurs when Borrower achieves two consecutive quarters of profitability and positive cash flow as determined under GAAP.”
Revenue Event occurs when Borrower achieves seventy-five percent (75.0%) of its revenue plan for the fiscal year 2005.

Examples of Revenue Event in a sentence

  • If either (i) Borrower achieves a Revenue Event and Borrower provides the Bank prompt written notice and satisfactory evidence that it has achieved same, or (ii) Borrower has completely satisfied its Obligations under the Growth Capital Loan, then the IP Agreement shall be deemed released and terminated.

  • During the Draw Period, Bank shall make another term loan available to Borrower in an amount equal to Five Million Dollars ($5,000,000) (the “Term B Loan”, and together with the Term A Loan, each a “Term Loan” and collectively, the “Term Loans”) provided that on or prior to the Funding Date of the Term B Loan, Borrower has achieved the Revenue Event.

  • If a Consummation Event or Revenue Event never occurs, Buyer shall not be obligated to make any payments pursuant to this Section 2.12(d).

  • If Borrower achieves a Revenue Event and Borrower provides the Bank prompt written notice and satisfactory evidence that it has achieved same, then the IP Agreement shall be deemed released and terminated.

More Definitions of Revenue Event

Revenue Event means Borrower’s achievement of revenues on a trailing six (6) month basis as of the most recent completed month ended prior to the Funding Date of the Term B Loan of at least seventy five percent (75%) of Borrower’s board approved plan attached hereto as Annex I.
Revenue Event is the achievement by Borrower after the Effective Date of trailing twelve (12) months’ revenue of at least Eight Million Dollars ($8,000,000), determined by Collateral Agent, based upon written evidence satisfactory to Collateral Agent, at the end of any fiscal month of Borrower.
Revenue Event means the sale, lease or other rental of any products or services of the Borrower or any of its subsidiaries, and (b) "Revenue" shall mean all sums received by the Borrower in connection with a Revenue Event other than sales or similar taxes.

Revenue Event is Borrower’s achievement of consolidated product revenues, measured on a trailing twelve (12) month basis as of November 30, 2017, of at least Twenty Million Dollars ($20,000,000.00), as determined in accordance with GAAP by Lenders based upon written evidence satisfactory to the Lenders.
