Revenue Period definition

Revenue Period. The three month period that ends on each of the dates specified in the table set forth in Section 1 of this Standby Purchase Agreement, provided that the first Revenue Period shall be deemed to be a four month period starting on September 1, 2001 and ending on December 31, 2001, subject to the omission of all Revenue associated with Excluded Cash Payments, as provided above.
Revenue Period means either (i) the four consecutive fiscal quarters of Purchaser beginning on the first day of the first fiscal quarter after the Closing Date or (ii) the 12-month period beginning on the first Business Day after the Closing Date, whichever results in higher Gross Revenue.
Revenue Period shall have the meaning set forth in Section 5.31(a). “Review Period” shall have the meaning set forth in Section 2.6(c).

Examples of Revenue Period in a sentence

  • Should the Net Service Revenue of the Business fall below the Threshold during the Revenue Period, the Stock Consideration and the Non-Compete Consideration shall be reduced by a percentage equal to the amount of such difference in Net Service Revenue for the Revenue Period from the Threshold divided by the Threshold, as described below.

  • SBEC acknowledges and agrees that any Revenue recognized by the Company prior to or in a Revenue Period that constitutes Excluded Cash Payments (as defined below) shall not count as Revenue for purposes of satisfying the Revenue Targets.

  • The Purchaser shall issue the Stock Consideration on December 15, 2005 to be held by the Purchaser who will deliver the Stock Consideration to the Principals after the Final Net Service Revenue is determined after the conclusion of the Revenue Period.

More Definitions of Revenue Period

Revenue Period means, for any Test Period, the three calendar month period (taken as one accounting period) commencing the first day of the calendar month of the second month immediately preceding the first month of the Test Period. By way of example, the Revenue Period for the Test Period ending June 30, 2010 shall consist of the three calendar months ending February 28, 2010, March 31, 2010 and April 30, 2010.
Revenue Period means a period of time that commences at 12:01 AM Pacific Time on January 1, 2020 and ends at 11:59 PM Pacific Time on December 31, 2020.
Revenue Period means each quarter (being March, 31st, June 30th, September 30th and December 31st) except that the first Revenue Period shall be a period from and including the Opening Date and expiring on the end of that quarter and the final Revenue Period shall end on the last day of the term of this Agreement;
Revenue Period means the First Revenue Period, the Second Revenue Period and/or the Third Revenue Period, as applicable (as such terms are defined in Section 4.1 hereof).

In no event shall the Contingent Consideration exceed $1,750,000, nor shall any downward adjustment reduce the Contingent Consideration below zero. By way of illustration only, if existing customers generate $100,000 in average monthly revenues, and such customers generate $150,000 in average monthly revenues during the Revenue Period, there shall be $5,000 in Additional Revenue Shortfall ($55,000 less $50,000) and $60,000 in Annualized Additional Revenue Shortfall. Accordingly, Seller shall be entitled to $1,210,000 in Contingent Consideration ($1,750,000 less $540,000 (Annualized Additional Revenue Shortfall multiplied by nine)).
Revenue Period has the meaning ascribed to it in Section 10.6(a).
