Examples of Rhino Group in a sentence

  • Rhino and the members of the Rhino Group shall prepare or cause to be prepared, with the assistance of the members of the Newco Group, and file or cause to be filed all Rhino Income Tax Returns for any Pre-Closing Tax Period.

  • Rhino and the members of the Rhino Group shall prepare or cause to be prepared, with the assistance of the members of the Newco Group, and file or cause to be filed all RhinoRx Non-Income Tax Returns.

  • Any and all existing Tax Sharing Agreements, whether written or unwritten, between any member of the Rhino Group or Hippo Group, on the one hand, and any member of the Newco Group, on the other hand, shall be terminated as of the Closing Date as between such Parties.

  • Such Tax Returns shall be prepared in a manner consistent with the prior practice of the Rhino Group and the RhinoRx Entities.

  • Rhino and the members of the Rhino Group shall have the right, in their sole discretion, to make any and all decisions and elections with respect to any Rhino Income Tax Returns.

  • To the extent practicable, so much of any Newco Straddle Period Tax Return as relates to the RhinoRx Entities shall be prepared in a manner consistent with the prior practice of the Rhino Group and the RhinoRx Entities and so much of any Newco Straddle Period Tax Return as relates to the HippoRx Entities shall be prepared in a manner consistent with the prior practice of the Hippo Group and the HippoRx Entities.

  • Each such designated member of the Rhino Group covenants to Newco that it shall be responsible to see that all such administrative matters relating thereto shall be handled properly and appropriately.

  • As of the Closing Date, neither the members of the Newco Group nor the members of the Rhino Group or Hippo Group shall have any further rights or liabilities under any such agreement, and this Agreement shall be the sole Tax Sharing Agreement between the members of the Newco Group and the members of the Rhino Group or the Hippo Group.

  • No Tax sharing payments shall be made by members of the Newco Group to members of the Rhino Group, or by members of the Rhino Group to members of the Newco Group, with respect to the Rhino Income Tax Returns.

  • Subject to the foregoing, such Tax Returns shall be prepared in a manner that is consistent with the prior practice of the members of the Rhino Group and the RhinoRx Entities, provided that an inconsistent position may be taken if such position would not adversely impact any RhinoRx Entity.

Related to Rhino Group

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Minority Group means any of the following racial or ethnic groups:

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • ITT means the Purchaser’s invitation to tender dated (date ITT issued).

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Tax Group has the meaning set forth in Section 7.06(h)(iii).

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • MPC means Marathon Petroleum Corporation, a Delaware corporation.

  • CBS shall have the meaning set forth in the Preamble.

  • Member means a member of the Board;

  • Designated Group means - i) Black designated groups; ii) Black People; iii) Women; iv) people with disabilities or v) Small enterprise, as defined in Section 1 of National Small Enterprise Act, (102 of 1996)

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.
