Rights Offerings Shares definition

Rights Offerings Shares means the New Class A Shares to be issued and sold through the Rights Offerings, including the Remaining Rights Offering Shares and the Backstop Commitment Premium.
Rights Offerings Shares means, collectively, the 1145 Rights Offering Shares and the 4(a)(2) Rights Offering Shares to be purchased by the Term Loan Lenders pursuant to the Rights Offerings. For the avoidance of doubt, the term “Rights Offerings Shares” does not include the New Gymboree Common Shares issued on account of the Backstop Commitment Premium.
Rights Offerings Shares means, collectively, the 4(a)(2) Rights Offering Shares and the 1145 Rights Offering Shares.

Related to Rights Offerings Shares

  • Rights Offering Shares means the shares of New Common Stock (including all Unsubscribed Shares purchased by the Commitment Parties pursuant to this Agreement) distributed pursuant to and in accordance with the Rights Offering Procedures.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.
