Roche Product definition

Roche Product means, with respect to a particular Target, (a) an Original Product or (b) Phase I Completed Original Product for which Roche has exercised the Roche Option Right and C4T has not exercised its C4T Co-Dev Option Right, if applicable, to convert this Product into a C4T Co-Dev Product, or a C4T Co-Dev Product for which C4T has exercised its Opt-Out under Section 6.3.5.
Roche Product means any product that if made, used, sold, offered for sale or imported absent the licenses granted hereunder would infringe one or more Valid Claims of the Biosite Patent Rights.
Roche Product means any product or component that would result in Focal's breach of the Roche Agreement if rights to research, develop, manufacture, use, sell or market the same were granted to Ciba or Chiron under this Agreement as of the Effective Date.
