Examples of ROFO Option Period in a sentence

  • The failure of the Partnership and the Brookfield Limited Partners to provide notice to the ROFO Seller by the expiration of the ROFO Option Period shall be deemed to be a waiver of the ROFO Option.

  • The ROFO Option shall be exercisable by delivery of written irrevocable notice of the exercise thereof, prior to the expiration of the ROFO Option Period, to the ROFO Seller which notice shall state the number of ROFO Offered Interests proposed to be purchased by each of the Partnership and the Brookfield Limited Partners.

  • The closing of purchases of ROFO Offered Interests subscribed for by the Partnership and the Brookfield Limited Partners (or any permitted assignees thereof) under Section4.8(b) shall occur no later than the thirtieth (30th) day after the ROFO Option Period pursuant to Section 4.8, or at such other time as the parties to the transaction may agree.

Related to ROFO Option Period

  • Call Option Period has the meaning given to it in Condition 6.04 (Call Option);

  • Option Notice has the meaning set forth in Section 5.2(a).

  • Qualifying Period means 12 continuous Calendar Weeks during the whole or part of which the Agency Worker is supplied by one or more Temporary Work Agencies to the relevant Hirer to work temporarily for and under the supervision and direction of the relevant Hirer in the same role, and as further defined in the Schedule to these Terms;

However, an Employee's initial Election Period shall be determined pursuant to Section 5.1.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Termination Option Event means an event of a kind defined as such in Section 4.1, 4.2 or 4.8.

  • Employee Option means an Option granted pursuant to Section 5.

  • Repurchase Period means a period of 90 consecutive days commencing on the date when the Optionee’s Service terminates for any reason, including (without limitation) death or disability.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.
