ROFR Assets definition

ROFR Assets means any assets of the Partnership Group that serve any refinery owned, acquired or constructed by a Delek Entity, including without limitation the assets listed on Schedule VI to this Agreement.

ROFR Assets has the meaning assigned to such term in Section 4.1(b).

ROFR Assets means any assets of the Partnership Group that serve any refinery owned, acquired or constructed by a Valero Entity, including the assets listed on Schedule E to this Agreement.

Examples of ROFR Assets in a sentence

• The following sets forth the procedure for Noble to undertake to honor the right of first refusal with respect to the ROFR Assets.

• The Parties acknowledge and agree as to the value allocated to each of the ROFR Assets (a “ROFR Value”) as set forth in the KML Disclosure Letter.

• Failure to provide such notice within such 45-day period shall be deemed to constitute a decision not to purchase the applicable ROFR Assets, and TMG shall be deemed to have waived its rights with respect to such proposed disposition of the applicable ROFR Assets, but not with respect to any future offer of such ROFR Assets.

• In the event that the Conflicts Committee does not timely and properly exercise the ROFR on behalf of the Partnership Group, the Partnership Group shall be deemed to have waived its rights hereunder with respect to such ROFR Assets.

• The Parties desire by their execution of this Agreement to evidence their understanding, as more fully set forth in Article 2, with respect to Ergon’s (i) right of first offer with respect to the ROFO Assets (as defined herein) and (ii) right of first refusal with respect to the ROFR Assets (as defined herein).

More Definitions of ROFR Assets

ROFR Assets means the ownership interests of a Noble Energy Group Member in any assets currently owned or in the future developed or acquired that satisfy all of the following criterion: such assets are (i) owned by a Noble Energy Group Member at the time of the proposed Transfer for the purpose of providing ROFR Services, (ii) are located on ROFR Acreage, (iii) not used by any Noble Energy Group Member at the time of the proposed Transfer to provide services to or with respect to production from the Marcellus formation and (iv) are of a type that are useful in the provision of ROFR Services.

ROFR Assets means any assets of the Partnership Group that (x) are integral to any refinery owned, acquired or constructed by a Delek Entity or (y) are listed on Schedule VI to this Agreement; provided, however, that immaterial assets disposed of in the ordinary course are not ROFR Assets.

ROFR Assets means all of the right, title and interest of Peabody, Arch and each of their respective Affiliates in, to and under any real property or any Mining Rights located in the Area of Interest, whether owned, leased or otherwise held and whether now owned or hereafter acquired, together with any properties, assets and rights related thereto, including the undeveloped deposits set forth on Schedule 2.5(e) (as amended from time to time in accordance with this Agreement).

ROFR Assets has the meaning set forth in Section 8.11.

ROFR Assets means the assets described on Exhibit B attached hereto.

ROFR Assets means any Dealership and the Purchased Assets related thereto (including any Transferred Real Property related thereto and the Transferred Interests of any Transferred Entity that owns or leases such Transferred Real Property) that are subject to a right of first refusal or similar right that would restrict, prohibit or delay the transfer of such Dealership and related Purchased Assets to the Purchaser.

ROFR Assets and “ROFR Value” each has the meaning ascribed thereto in Section 5.8;
