Rule 405 Affiliate definition

Rule 405 Affiliate means an affiliate of the Company as defined under Rule 405 of the rules and regulations promulgated under the Act and as interpreted in good faith by the Board.
Rule 405 Affiliate means an affiliate of Holdco as defined under Rule 405 of the rules and regulations promulgated under the Act and as interpreted in good faith by the Holdco Board.

  • Underwriter Free Writing Prospectus means a Free Writing Prospectus prepared by or on behalf of an Underwriter.

  • Affiliate means any Person that, directly or indirectly through one or more intermediaries, controls or is controlled by or is under common control with a Person, as such terms are used in and construed under Rule 405 under the Securities Act.
