Sales Partners definition

Sales Partners means any third party authorized by COMPANY (or its Sublicensees) by any kind of agreement to market, promote, distribute or sell, or otherwise dispose of, Licensed Products or Licensed Services, if such Sales Partner does not purchase Licensed Products or Licensed Services from COMPANY (or its Sublicensees) in a Sale transaction, i.e. if the relation between COMPANY (or its Sublicensees) and the Sales Partner is not a pure seller-buyer relationship, e.g. if the agreement between COMPANY (or its Sublicensees) and the Sales Partner provides for an obligation to share costs or revenues, or a reporting obligation, or responsibility for sales and/or marketing efforts in a country.
Sales Partners means any person or legal entity that is authorized by COMPANY or its Affiliates and Sublicensees (as permitted by Section 2.2(a)(iii)) by any kind of agreement to market, promote, distribute or sell, or otherwise dispose of, Licensed Products and/or Licensed Services to a Third Party and that is contractually required to (at least) share the revenues from sales with COMPANY or its Affiliates. Sales Partner shall not include wholesale distributors who purchase Licensed Products from COMPANY or its Affiliates in a first commercial sale at arm’s length transaction for further resale, and who have no obligation to (at least) share revenues with COMPANY or its Affiliates.

Examples of Sales Partners in a sentence

  • Sublicenses granted by COMPANY shall provide that COMPANY shall have the right to check the books of its Sublicensees according to this Section 5.9. The same shall apply in respect of Sales Partners.

  • Any information acquired by the auditor may only be used to confirm whether or not COMPANY (or its Affiliates, Sublicensees and Sales Partners) is in compliance with the obligations set forth in this Agreement.

  • COMPANY is obliged to keep, and shall oblige its Affiliates and Sublicensees and Sales Partners to keep, complete and accurate books on any reports and payments due to MI under this Agreement, which books shall contain sufficient information to permit MI to confirm the accuracy of any reports and payments made to MI.

  • All payments made by COMPANY (or, as the case may be, by Affiliates and Sublicensees and Sales Partners) under this Agreement are non-refundable and, except as set forth in Section 5.2, non-creditable against each other.

  • AGENT SIGNATURE LP APPROVAL Sales Partners are responsible for charge backs on up-front commission(s) in the event [sub agent is no longer active and or sub agent residual is not sufficient enough a merchant does not activate terminal within 30 days of placement or the merchant cancels his merchant account within 12 months.

  • MI is authorized to check the books of COMPANY by an independent certified public accountant, and, upon MI’s request, COMPANY, or agents appointed by MI for COMPANY, shall check the books of its Affiliates and Sublicensees and Sales Partners for MI, once a year.

  • All payments made by COMPANY (or, as the case may be, by Affiliates and Sublicenses and Sales Partners) under this Agreement are non-refundable and, except in the event of an overpayment or as set forth in Section 5.2, noncreditable against each other.

  • For purposes of clarity, in no event will a Co-Exclusive Licensee have obligations to any Indemnitee for Claims resulting from or arising out of any use of the Patent Rights by the other Co-Exclusive Licensee, any Licensed Product that is developed, made, used, or sold by such other Co-Exclusive Licensee, its Affiliates, Sublicensees and Sales Partners, or any Third Party use of any such Licensed Product.

  • MI’s CPA is authorized to check the books of WAVE not more than [***] per calendar year and, upon MI’s written request, within [***] days, WAVE shall provide records of its Affiliates, Sublicensees and Sales Partners in WAVE’s possession as part of such audit.

  • GI is authorized to check the books of COMPANY by an independent certified public accountant, and, upon GI’s request, COMPANY, or agents appointed by GI for COMPANY, shall check the books of its Affiliates and Sublicensees and Sales Partners for GI, once a year.
