Sales Partners definition

Sales Partners means any person or legal entity that is authorized by COMPANY or its Affiliates and Sublicensees by any kind of agreement to market, promote, distribute or sell, or otherwise dispose of, Licensed Products and/or Licensed Services to a Third Party in a first commercial sale at arm's length transaction without violating this Agreement or the MPG Patent Rights. Sales Partner shall not include wholesale distributors who purchase Licensed Products from COMPANY or its Affiliates and Sublicensees in a first commercial sale at arm's length transaction for further resale, and who have no other obligation (including without limitation any obligation to share costs or revenues, or a reporting obligation, or responsibility for sales and/or marketing efforts in a country) to COMPANY or its Affiliates and Sublicensees.

Sales Partner shall not include wholesale distributors who purchase Licensed Products from COMPANY or its Affiliates in a first commercial sale at arm’s length transaction for further resale, and who have no obligation to (at least) share revenues with COMPANY or its Affiliates.
