SEC Settlement means the settlement agreement between the Securities Exchange Commission ("SEC") and Borrower resulting from the investigation known as In the Matter of TALX Corporation (D-02448-A), including a payment by Borrower of up to Three Million and 00/100 Dollars ($3,000,000.00) pursuant to such settlement."
