Examples of Second Consideration Shares in a sentence
According to the sale and purchase agreement dated 26 January 2011 and the supplemental agreement dated 16 May 2011 in relation to the acquisition of the entire equity interests of Smart Title Limited, the Company has issued the Second Consideration Shares of 50,000,000 new ordinary shares on 11 June 2013.
If Resolution 9 is passed, the issue of the Second Consideration Shares will be excluded in calculating the Company’s combined 15% limit in Listing Rule 7.1, effectively increasing the number of Equity Securities the Company can issue without Shareholder approval over the 12 month period following the date of issue of the Second Consideration Shares.
If Resolution 9 is not passed, the Second Consideration Shares will be included in calculating the Company’s combined 15% limit in Listing Rule 7.1, effectively decreasing the number of Equity Securities that the Company can issue without Shareholder approval over the 12 month period following the date of issue of the Second Consideration Shares.
The Separation Agreement and this Release, together with the Severance Plan and any agreements concerning restrictive covenants referenced in Section 7 of the Severance Plan, represents the final and entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations and discussions between the parties hereto and/or their respective counsel with respect to the subject matter hereof.
Resolution 2 seeks shareholder approval to issue up to 757,613,650 shares in Key (Initial Consideration Shares, First Consideration Shares, Second Consideration Shares and the Option Consideration Shares) along with the issue of up to 57,000,000 Issue Options to Zeta key management personnel.
