Second Issue Date definition

Second Issue Date means the date of issuance of Notes on the “Second Exchange Date” (as defined in the Exchange Offer Memorandum).

Second Issue Date shall have the meaning set forth in the section “Issue Dates” of these Terms and Conditions;

Second Issue Date means September 22, 2014, the first issue date of the Series A-1 Preferred Stock.

• As of the Second Issue Date, the Preferred Director Number is one and a Preferred Elected Director will commence service on the Board within ten (10) days of the date hereof.

• Each Guarantor hereby agrees, ratifies and reaffirms that its Guarantee pursuant to Section 11.01 of the Indenture shall remain in full force and effect with respect to the Notes (including the Notes issued on the Issue Date, the Notes issued on the Second Issue Date, any other Notes issued in accordance with the Indenture and any Exchange Notes issued in exchange therefor).

• The Company and the Holders agree that the Holders shall be entitled to the consent right set forth in the immediately preceding sentence so long as the Holders continue to hold 25% of the Warrants (or Warrant Shares) held by them on the Second Issue Date.
