Second Lien Cap Amount definition

Second Lien Cap Amount means $500,000,000; provided, that, if the Company delivers a Second Lien Incremental Borrowing Notice (as such term is defined in the 2006 TRC Credit .Agreement) in accordance with the TRC Subordinated Loan Agreement, the Second Lien Cap Amount will increase dollar for dollar up to $550,000,000 by the principal amount of incremental obligations incurred under the Second Lien Facility during the Second Lien Special Interest Period (as such term is defined in the TRC Subordinated Loan Agreement), plus the incremental principal amounts arising from payment-in-kind of interest on each such incremental obligation under the Second Lien Facility (including the incremental principal amounts arising out of such payment-in-kind) accrued during the period of twelve months from the date each such incremental obligation under the Second Lien Facility is incurred.
Second Lien Cap Amount means $305,000,000 in the aggregate or such greater amount at the time of incurrence thereof that is expressly permitted under the First Lien Credit Agreement.
Second Lien Cap Amount means, (x) unless the Company or any other Grantor shall be subject to any Insolvency or Liquidation Proceeding, $950,000,000 plus the principal amount of the Indebtedness incurred pursuant to and in accordance with Section 2.14 of the Second Lien Credit Agreement as in effect on the date hereof and (y) if the Company or any other Grantor shall be subject to any Insolvency or Liquidation Proceeding, the lesser of (i) $1,300,000,000 and (ii) the aggregate amount of Indebtedness outstanding under the Second Lien Credit Agreement, the Second Lien Notes issued pursuant to the Second Lien Indenture and Indebtedness under the Other Pari Passu Lien Debt Documents on the date of commencement of such Insolvency or Liquidation Proceeding plus $150,000,000.

Second Lien Cap Amount means the result of (a) $55,000,000 minus (b) the aggregate amount of all repayments and prepayments of the principal amount of the term loan obligations under the Second Lien Credit Agreement (other than repayments or prepayments of such term loan obligations to the extent of a refinancing thereof).
Second Lien Cap Amount means, as of any date of determination, regardless of whether the Second Lien Loan Agreement is in effect on such date, the sum of (a) 115% of $40,000,000 minus (b) the aggregate amount of repayments and prepayments of principal of term loans that are Second Lien Obligations (excluding any (x) voluntary prepayments of Second Lien Obligations, except to the extent such prepayments reduce scheduled payments or mandatory prepayments otherwise due under the Second Lien Credit Agreement and (y) any such repayments resulting from (i) a Refinancing of such Obligations or (ii) a “roll up” of such Obligations in connection with a DIP Financing, in each case, in accordance with the terms of this Agreement).
Second Lien Cap Amount means, (x) unless the Company shall be subject to any Insolvency or Liquidation Proceeding, $165,000,000 minus the aggregate amount of principal payments made under the Second Lien Credit Agreement from and after the date hereof; and (y) if the Company shall be subject to any Insolvency or Liquidation Proceeding the sum of (i) $165,000,000 minus (ii) the aggregate amount of principal payments made under the Second Lien Credit Agreement from and after the date hereof plus (iii) 10% of the sum of the aggregate outstanding principal amount of Indebtedness under the Second Lien Loan Documents immediately prior to the commencement of such Insolvency or Liquidation Proceeding.
Second Lien Cap Amount means the sum of the aggregate principal amount of the Second Lien Notes issued on the date of the Second Lien Notes Indenture and then outstanding and the maximum aggregate principal amount of Pari Passu Indebtedness that may be incurred under the Second Lien Notes Indenture without giving effect to clause (3) of the definition of the term “Pari Passu Indebtedness”; provided, that the “Second Lien Cap Amount” shall not exceed the greater of (i) the aggregate principal amount outstanding under all Second Lien Documents on the date of this Agreement and (ii) such greater amount as may be permitted under the First Lien Loan Documents.

Second Lien Cap Amount means, the sum of (a) $175,000,000 plus (b) the aggregate principal amount of additional Second Lien Notes issued under Section 4.09 of the Second Lien Indenture and secured by a Lien under clause (2) of the definition ofPermitted Liens” in the Second Lien Indenture plus (c) the amount of any interest, fees or other amounts that are capitalized to the principal of the Second Lien Obligations (but excluding any such interest or similar amounts accruing at a rate greater than 2.00% per annum in excess of the rate of interest in effect as of the date hereof, or to the extent applicable, the default rate relating thereto (as set forth in the Second Lien Documents as in effect as of the date hereof).
