Second Omnibus Amendment definition

Second Omnibus Amendment means that certain Second Omnibus Amendment, made as of the Second Omnibus Amendment Effective Date, among the Company, as Borrower and as the Company, the Conduit Lenders, Scotia, as a Managing Agent and as a Committed Lender, BTMU, as a Managing Agent and as a Committed Lender, Credit Agricole Corporate and Investment Bank, as a Managing Agent, as a Committed Lender and as Administrative Agent, the Collection Agent, as Collection Agent under each of this Agreement, the Sale Agreement, and the Loan Agreement, and as Authorized Representative (as defined in the Sale Agreement), CHS, as Transferor, as Buyer and individually (as a performance undertaking party), and each of the Originators party to the Sale Agreement as of the Second Omnibus Amendment Effective Date, as Originators.

Second Omnibus Amendment has the meaning set forth in the Recitals to the Common Terms Agreement.

• All references to the Agreement in any other document or instrument shall be deemed to mean the Agreement as amended by this Second Omnibus Amendment.

• Upon execution of this Second Omnibus Amendment, the Agreement shall be, and be deemed to be, modified and amended in accordance with this Second Omnibus Amendment.

• The headings in this Second Omnibus Amendment are for purposes of reference only and shall not otherwise affect the meaning or interpretation of any provision hereof.

More Definitions of Second Omnibus Amendment

Second Omnibus Amendment means the Second Omnibus Amendment and Reaffirmation Agreement (Security Agreements, Guaranties, and Securities Pledge Agreement), dated as of the date hereof, among each Borrower, each Guarantor, and the Administrative Agent, as amended, supplemented or otherwise modified and in effect from time to time.
