The Case Contribution Award(s) shall be payable from the Qualified Settlement Fund following the deposit of the Second Settlement Payment into the Escrow Account and shall be in addition to any portion of the Net Settlement Fund the Named Plaintiffs would otherwise be entitled to receive as Settlement Class members.
In addition, in the event Company fails to timely pay the First Settlement Payment or the Second Settlement Payment to Investor, Company covenants and agrees that it will not complete the Hope Transaction, or any similar transaction, until after it has repaid the Note in full.

The First Settlement Payment and the Second Settlement Payment will be made by Borrower to Investor via wire transfer of immediately available funds.
No later than five (5) business days after the entry of the Preliminary Approval Order, Class Counsel shall: (a) establish at a Financial Institution through the Settlement Administrator, an account (the “Escrow Account”) for the purpose of holding the Total Settlement Payment; and (b) provide notice to Defendant of the information needed to deposit the First Settlement Payment and Second Settlement Payment into the Escrow Account.
In the event that Tri-Valley files the executed Requests for Dismissal on or before the date that Adept actually vacates the Property, Adept shall pay the Second Settlement Payment directly to Tri-Valley’s account by wire transfer, in the same manner as described herein for payment of the First Settlement Payment, within two (2) business days after Adept actually vacates the Property, and in any event no later than February 3, 2009.
Within two (2) business days after the later of the dates that Adept has deposited the Second Settlement Payment into the neutral escrow account and the date that Adept actually vacates the Property, Tri-Valley shall execute and file Requests for Dismissal of the Actions, pursuant to Paragraph 3.
