Secured Noteholder definition

Secured Noteholder. As of any date of determination, the Person in whose name such Secured Note is registered in the Secured Note Register on such date.

Secured Noteholder means any of them.

Each Secured Noteholder, by its acceptance of a Secured Note, shall be deemed to authorize the Servicer to re-perfect such security interest on its behalf as may be needed from time to time.

Secured Noteholder means the Person in whose name a Senior Secured Note is registered on the Registrar’s books.

Secured Noteholder s Share” means, with respect to each Secured Noteholder, either: (i) the principal amount of Secured Notes held by such Secured Noteholder as at the Filing Date divided by the total aggregate principal amount of all Secured Notes as at the Filing Date; or (ii) such other proportionate share as may be agreed by the Applicants, Marret (on behalf of the Secured Noteholders) and the Monitor and as confirmed by Marret (on behalf of the Secured Noteholders) to the Indenture Trustee in writing.

Secured Noteholder means any person that either: (i) is the sole legal and beneficial owner of a Secured Note Claim; (ii) has investment or voting discretion or control with respect to discretionary accounts for holders or beneficial owners of a Secured Note Claim; (iii) holds an undivided 100% beneficial interest or other participation interest in and to a Secured Note Claim; or (iv) is a Supporting Noteholder that holds a Secured Note Claim pursuant to an outstanding Trade.

Secured Noteholder with respect to this Secured Note, means at any time the Persons then the record owner hereof collectively.

Secured Noteholder means any person that either (i) is the sole legal and beneficial owner of a Secured Note Claim, (ii) has investment or voting discretion or control with respect to discretionary accounts for holders or beneficial owners of a Secured Note Claim; (iii) holds an undivided 100% beneficial interest or other participation interest in and to a Secured Note Claim; or (iv) any Supporting Secured Noteholder that has a contractual obligation to purchase and acquire (net of any obligation to sell any Secured Note Claim) from any Secured Noteholder a Secured Note Claim (“Trades”), which Trades, as of the date hereof, remains an outstanding obligation to purchase and acquire a Secured Note Claim, and such Supporting Secured Noteholder has not yet settled the Trades as an assignment, participation or other transfer of such a Secured Note Claim.

Secured Noteholder means a Holder of a Secured Note.

Secured Noteholder s Pro-Rata Share” means, with respect to each Secured Noteholder, (x) the principal amount of Secured Notes held by such Secured Noteholder as at the Filing Date divided by (y) $110,000,000 (being the aggregate principal amount of all of the Secured Notes).
