Select Release definition

Select Release means a release of (i) all or any of the Select Release Properties, (ii) at the applicable Release Price, (iii) in connection with a sale of such Select Release Property(ies) to Ashford Hospitality Select Limited Partnership or its Affiliates and (iv) in accordance with Section 2.9 hereof and Section 2.9 of the Mortgage Loan Agreement and the Mezzanine A Loan Agreement, it being acknowledged and agreed that Borrower’s, Mezzanine A Borrower’s and Mortgage Borrower’s right to a Select Release is a one-time right exercisable at any time.

Examples of Select Release in a sentence

  • Release is a one-time right exercisable at any time during the term of the Mortgage Loan and to the extent that Mortgage Borrower elects to exercise its one-time right to a Select Release pursuant to and in accordance with the Mortgage Loan Agreement, Mortgage Borrower shall have no further right to make such an election, regardless of whether all of the Select Release Properties were released in connection with such Select Release.

  • Minor Release means a minor update or upgrade to the Software (including service releases or bug fixes), identified by Bosch by a change in the second or following digit in the release number (e.g. change from version 2.1 to 2.2 or 2.2.1 to 2.2.2.).

  • Proof of Claim and Release means the Proof of Claim and Release form for submitting a Claim, which, subject to approval of the Court, shall be substantially in the form attached hereto as Exhibit A-2, that a Class Member must complete and submit should that Class Member seek to share in a distribution of the Net Settlement Fund.

  • New Release means a partial or complete replacement of the executable code of the Software in machine-readable form, which may provide new features or functions. A New Release may incorporate some or no enhancements. A New Release involves only such alterations that change the release number to the immediate right of the decimal point. Changes to the release number are made solely at the discretion of the Licensor.

  • Release Request has the meaning set forth in Section 2.1.

  • Release Notice has the meaning specified in Section 11.19(b).

  • Claims Objection Deadline means the later of: (a) the date that is 180 days after the Effective Date; and (b) such other date as may be fixed by the Bankruptcy Court, after notice and hearing, upon a motion Filed before the expiration of the deadline to object to Claims or Interests.

  • Release means any release, spill, emission, leaking, pumping, pouring, injection, escaping, deposit, disposal, discharge, dispersal, dumping, leaching or migration of any Hazardous Material into the indoor or outdoor environment (including the abandonment or disposal of any barrels, containers or other closed receptacles containing any Hazardous Material), including the movement of any Hazardous Material through the air, soil, surface water or groundwater.

  • Release of Claims means the Release of Claims in substantially the same form attached hereto as Exhibit A (as the same may be revised from time to time by the Company upon the advice of counsel).

  • Current Release means the latest version of the Software offered for general commercial distribution at a given point in time, including all New Releases.

  • Project Report means a summary statement of the likely environmental effects of a proposed development referred to in section 58;

  • Data Subject Request means a request made by, or on behalf of, a Data Subject in accordance with rights granted pursuant to the Data Protection Legislation to access their Personal Data.

  • Waiver and Release means the Waiver and Release attached hereto as Exhibit A.

  • Request for Release A release signed by a Servicing Officer, in the form of Exhibit E attached hereto.

  • Review Package A package of documents consisting of a memorandum outlining the analysis and recommendation (in accordance with the Servicing Standard) of the Master Servicer or the Special Servicer, as the case may be, with respect to the matters that are the subject thereof, and copies of all relevant documentation.

  • Release Agreement means an agreement, substantially in a form approved by the Company, pursuant to which Executive releases all current or future claims, known or unknown, arising on or before the date of the release against the Company, its subsidiaries and its officers.

  • Release Deadline means the deadline prescribed by Employer for the execution of the general release described in this paragraph (d)(2) of Section 7, which deadline shall in no event be later than 60 days following the date Executive’s employment terminates;

  • Claims Process means the process pursuant to the BIA by which the Trustee will determine the Proven Claims against the Company.

  • Claims Objection Bar Date means the deadline for objecting to a Claim, which shall be on the date that is the later of (a) 180 days after the Effective Date and (b) such other period of limitation as may be specifically fixed by the Debtors or the Reorganized Debtors, as applicable, or by an order of the Bankruptcy Court for objecting to Claims.
