Sell Off Right definition

Sell Off Right shall have the meaning given in Section 5.8.
Sell Off Right is defined in Section 8.4(b) of this Agreement.

  • Notwithstanding anything to the contrary, the Sell-Off Right shall not apply in the event that either (a) Company does not provide the Sell-Off Right Notice as set forth above in this Section 5.4, or (b) this Agreement (or any right granted hereunder) is suspended or terminated by Google pursuant to Section 5.2 of this Agreement.

  • Notwithstanding anything to the contrary, Company shall not be entitled to receive any payments related to revenue share from Google upon termination or expiration of this Agreement, regardless of whether or not it chooses to utilize any Sell-Off Right.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • First Refusal Right means the right granted to the Corporation in accordance with Article E.

  • Sell or Offer to Sell means to: • sell, offer to sell, contract to sell or lend, • effect any short sale or establish or increase a Put Equivalent Position or liquidate or decrease any Call Equivalent Position • pledge, hypothecate or grant any security interest in, or • in any other way transfer or dispose of, in each case whether effected directly or indirectly.

  • Secondary Refusal Right means the right, but not an obligation, of each Investor to purchase up to its pro rata portion (based upon the total number of shares of Capital Stock then held by all Investors) of any Transfer Stock not purchased pursuant to the Right of First Refusal, on the terms and conditions specified in the Proposed Transfer Notice.

  • Right of Repurchase means the Company’s right of repurchase described in Section 7.

  • Conversion Right has the meaning set forth in Section 4.05(a) hereof.

  • Retraction Call Right has the meaning ascribed thereto in the Exchangeable Share Provisions.

  • Retraction Notice has the meaning set forth in Section 11.01(c).

  • Disposition Notice is defined in Section 5.2(a).

  • Third Party Offer has the meaning set out in Section 6.4;

  • Preemptive Right has the meaning set forth in Section 5.1 hereof.

  • Right of First Refusal means the Company’s right of first refusal described in Section 8.

  • Right of First Refusal and Co-Sale Agreement means the agreement among the Company, the Purchasers, and certain other stockholders of the Company, dated as of the date of the Initial Closing, in the form of Exhibit F attached to this Agreement.

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).

  • Call-Off Contract means any contract for the Supply of Services between a Framework Public Body and the Contractor entered into in accordance with the Award Procedures and based on the Standard Terms of Supply.

  • Repurchase Right means the right granted to the Corporation in accordance with Article D.

  • Exercise Notice has the meaning set forth in Section 3.2(1);

  • Repurchase Option has the meaning set forth in Section 1.3(a) hereto.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Buy-Sell Notice shall have the meaning set forth in Section 12.1(a).

  • ROFR means a right of first refusal to purchase or a right of first offer to purchase one or more of the Mortgaged Properties pursuant to a recorded instrument (or a memorandum thereof) encumbering the applicable Mortgaged Property.

  • Put Right has the meaning set forth in Section 8.05(a).

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Exercise Right means the Exercise Right as specified in § 3 (1) of the Special Conditions.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Restriction Notice has the meaning set forth in Section 8.04(f) hereof.
