Seller Leases definition

Seller Leases shall have the meaning ascribed thereto in Section 5.16(b) hereof.

Seller Leases means leases for each of the Store properties identified under the heading "Seller Leases" on Schedule 3.2.

Seller Leases means all current leases of any Seller Equipment and all other contracts for use of any Seller Equipment more specifically described on Schedule 1, including, without limitation, all extensions, renewals, supplements and modifications of any of the foregoing. If any of the Seller Leases (including, without limitation, any master lease) shall include both Seller Equipment and railcars not part of the Seller Equipment, then such Seller Leases shall be subject to this Agreement only to the extent they cover Seller Equipment; and, for purposes of this Agreement, the term Seller Lease shall mean a lease (including without limitation, the provisions of any master lease) only insofar as such lease applies to Seller Equipment subject to this Agreement.

Examples of Seller Leases in a sentence

• The Seller Leases and the Affiliate Leases shall be substantially in the form of Exhibit A hereto upon the terms (including annual rent) identified in Schedule 3.2 hereto.

• Seller is not in violation or breach of, or in default with respect to, any provision of any Seller Lease, except for such defaults which do not have, and are reasonably expected not to have, a material adverse effect on the value of the Seller Leases.

• To the knowledge of the Seller, none of the lessees under the Seller Leases are in violation or breach of, or are in default with respect to, any provision of any of the Seller Leases, except for such defaults which do not have, and are reasonably expected not to have, a material adverse effect on the value of the Seller Leases.

• Seller hereby sells, transfers, assigns, sets over and otherwise conveys to the Buyer, without recourse (except for the obligations specifically set forth herein) on the date hereof all of Seller’s right, title and interest in and to the Seller Equipment (subject to the Seller Leases) and all proceeds of the foregoing, and Buyer hereby accepts all such right, title and interest upon and subject to the terms and conditions of this Agreement.

• Seller hereby assigns to Buyer and Buyer hereby assumes from Seller, on the date hereof pursuant to a Seller Assignment and Assumption Agreement, the Seller Leases insofar as they relate to the Seller Equipment.

More Definitions of Seller Leases

Seller Leases means leases for each parcel of Seller Real Property.

Seller Leases means (i) the lease entered into on 8 January 2015 between CFI Lake (Switzerland) SARL as lessor and GIHE SARL as lessee, (ii) the lease entered into on 8 January 2015 between CFI Mountain (Switzerland) GMBH as lessor and Gesthôtel SARL as lessee and (iii) the lease entered into on 12 March 2002 between Estudios Universarios de Marbella SA as lessor and Escuela Superior de Alta Gestion de Hotel SA as lessee.

Seller Leases means any and all lease agreements or other occupancy contracts for the use and possession of office space, retail space or other real property between Seller or any of its Affiliates and any of the Acquired Companies.
