Examples of Seller Receivable in a sentence
Upon payment of any amounts from Delinquent Members, Buyer shall credit such payment first to the amounts owed by such Delinquent Member indicated on the Seller Receivable List, and then for Buyer's account.
On the Closing Date, Seller shall prepare and Buyer and Seller shall agree upon a list of all of the affected delinquent members and the amounts outstanding with respect to each such delinquent member (the "Seller Receivable List"; and each individual indicated on the Seller Receivable List hereinafter a "Delinquent Member").
If on any day any of the representations or warranties in Section 3.01(f) is no longer true with respect to any Seller Receivable, the Seller shall be deemed to have received on such day a Collection in full of such Seller Receivable and shall make the payment required to be made by it in connection with such Collection on the day required by, and otherwise pursuant to, Section 4.01(i).
Any such Excluded Seller Receivable Items that are known by Seller as of the Effective Date will be set forth on Schedule D attached to this Agreement.
Prior to the reassignment of any Seller Receivable, RII Sub agrees to use commercially reasonable efforts to collect any past due amount, but shall not be required to engage a collection agent or commence arbitration or litigation to collect.
