Seller agrees not to, and to cause its Related Persons not to, assert any proceeding against Buyer, any Buyer Related Person or the Company with respect to Seller Released Claims.
Each of the Sellers, on behalf of itself and the other Seller Releasing Parties, expressly covenants that it will not commence any action or suit, or prosecute any pending suit, in law or equity, against any of the Purchaser Released Parties in whole or in part involving any Seller Released Claims.
The Seller Released Claims include claims for contribution or other rights of recovery arising out of or relating to any Environmental Law (whether now or hereinafter in effect), including the Comprehensive Environmental Response, Compensation, and Liability Act, 42 U.S.C. § 9601, et seq., or to any Hazardous Substances, claims for breach of contract, breach of representation or warranty, negligent misrepresentation and all other claims for breach of duty.
Each Seller further agrees that each of them will not directly or indirectly (a) institute a lawsuit or other legal proceeding to the extent based upon, arising out of, or relating to any of the Seller Released Claims, or (b) participate, assist, or cooperate in any such proceeding except as otherwise required by applicable Law.
Notwithstanding anything to the contrary set forth in this Agreement, nothing contained in this Agreement shall operate to release (i) any Seller Released Claims that any Seller Releasing Party may have against any Buyer Released Party arising under, or related to, this Agreement, the Ancillary Agreements or the Subject Transactions or (ii) any person outside its capacity as a Buyer Released Party.
