The Selling Holder Election Notice shall specify the number of Registrable Securities that the Selling Holder intends to offer in such Underwritten Offering and the expected commencement date thereof.
Election Notice has the meaning set forth in Section 11.01(b).
Shelf Offering Notice has the meaning set forth in Section 1(d)(i).
Offering Notice has the meaning set forth in Section 3.1(a).
Regular Purchase Notice means, with respect to any Regular Purchase pursuant to Section 2(a) hereof, an irrevocable written notice from the Company to the Investor directing the Investor to buy such applicable amount of Purchase Shares at the applicable Purchase Price as specified by the Company therein on the applicable Purchase Date for such Regular Purchase.
Selling Holder means a Holder who is selling Registrable Securities pursuant to a Registration Statement.
Selling Holders means, with respect to a specified registration pursuant to this Agreement, Holders whose Registrable Securities are included in such registration.
Takedown Requesting Holder shall have the meaning given in subsection 2.3.3.
Put Notice has the meaning provided in Section 3.4.
Investor Notice means written notice from any Investor notifying the Company and the selling Key Holder(s) that such Investor intends to exercise its Secondary Refusal Right as to a portion of the Transfer Stock with respect to any Proposed Key Holder Transfer.
Exchange Notice has the meaning set forth in Section 2.1(a)(iii).
Pre-Notice shall have the meaning ascribed to such term in Section 4.13.
Contribution Notice means a contribution notice issued by the Pensions Regulator under section 38 or section 47 of the Pensions Xxx 0000.
Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;
Electing Holder means any Holder of Registrable Securities that has returned a completed and signed Notice and Questionnaire to the Company in accordance with Section 3(a)(i) or 3(a)(ii) hereof.
Subsequent Financing Notice shall have the meaning ascribed to such term in Section 4.12(b).
Initiating Holder has the meaning set forth in Section 2.01(a).
Forced Conversion Notice has the meaning set forth in Section 4.05(c) hereof.
CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).
