Additional Jurisdictions. Additional jurisdictions may become members of this agreement by signing and accepting the terms of the agreement.
Additional Jurisdictions. Any jurisdiction not a party to this Agreement at the time it becomes effective may become a party by first notifying the Policy Committee and then securing approval of the terms in this Agreement and any accompanying amendments from its governing body.
Additional Jurisdictions. In the event that a Subsidiary of Holdings is to become a party to this Guarantee as required by Section 9.11 of the Credit Agreement or otherwise and at such time such additional Guarantor is not organized in one of the jurisdictions of a Guarantor that is or has already been a signatory hereto, then the Guarantor Supplement (as defined below) to be executed and delivered by such additional Guarantor shall include guarantee limitation provisions, corporate benefit, tax and other provisions customary for such jurisdiction as the Collateral Agent and such additional Guarantor may reasonably agree based on the advice of legal counsel (which may be legal counsel for such Guarantor).
Additional Jurisdictions. (a) At Seller’s request, Buyer may agree, in its sole discretion, to approve Additional Jurisdictions relating to Eligible Assets in order to enter into Transactions subject to such Additional Jurisdictions. Seller shall provide Buyer with written notice of its request pursuant to this Article 30 and shall identify the requested Additional Jurisdiction(s). Upon the completion of satisfactory diligence, credit approval and consultation with legal counsel (including, without limitation, outside counsel in the relevant Additional Jurisdiction(s)) determined by Buyer in its sole discretion, Buyer shall notify Seller of its approval or non-approval of such requested Additional Jurisdiction(s). In the event that Buyer determines that such requested Additional Jurisdiction shall be an approved Additional Jurisdiction hereunder, the approval shall be effectuated upon the fulfillment of the following conditions:
(i) A Confirmation of Supplemental Provisions shall be delivered, fully executed by the relevant parties thereto, together with such other documents or Transaction Documents as may be reasonably requested by Buyer;
(ii) No Material Adverse Effect, Margin Deficit, Default or Event of Default shall have occurred and be continuing, or would result from the addition of such Additional Jurisdiction;
(iii) The representations and warranties contained in Article 9 shall be true and correct in all material respects, as of the date of the related Confirmation of Supplemental Provisions;
(iv) Buyer shall have received a legal opinion, dated as of the date of the related Confirmation of Supplemental Provisions described above, addressed to Buyer and its successors and/or assigns, having substantially the same coverage as those opinions delivered by Seller’s counsel pursuant to Article 3(a)(xi) on the Closing Date and substantially in a form reasonably acceptable to Buyer; and
(v) Such entity shall provide Buyer with such other documentation or information as Buyer may request with respect to such Additional Jurisdiction, and shall pay all reasonable out-of-pocket costs and expenses actually incurred by Buyer under this Article 30.
Additional Jurisdictions. G Mining agrees to provide to Xx Xxxxxx qualification rights that are substantially similar to those set forth in this Article 3 in relation to other jurisdictions in the event that G Mining becomes a reporting issuer (or equivalent concept) or becomes listed on a stock exchange in any such other jurisdiction.
Additional Jurisdictions. To the extent that the Purchaser wishes to establish registered trademark rights in jurisdictions in addition to those in which the Licensed Marks are currently registered, the Company shall take all commercially reasonable actions as may be required for the Purchaser to do so, including executing such additional documents or taking such additional actions as the Purchaser may reasonably require. The Company agrees that it does not currently, and will not during the term of this Agreement, use marks similar to the Licensed Marks in any jurisdictions outside of the jurisdictions in which the Licensed Marks are registered.
Additional Jurisdictions. 3.7.1 Prior to the Initialing Date, the Parties shall address how the DFNG may acquire additional Jurisdictions.
Additional Jurisdictions. To Sellers' Knowledge, no claim is being made by an authority in a jurisdiction where the Company does not file a return that it is or may be subject to taxation by that jurisdiction.
Additional Jurisdictions. Any public sector jurisdiction not a party to this Agreement may become a party by first obtaining the unanimous approval of the Participating Jurisdiction representatives on the Executive Committee then securing approval of the terms in this Agreement and any accompanying amendments from its governing body.
Additional Jurisdictions. If we begin collecting tax in a new state or local tax jurisdiction, then regardless of any documentation you have provided to us in the past, you must request tax exemption status and provide valid exemption documentation for the new jurisdiction in order for us to consider your request for tax exempt configuration in that jurisdiction.
