SEMICONDUCTOR ASSETS definition

SEMICONDUCTOR ASSETS has the meaning set forth in SECTION 1.2 of the Assignment Agreement.
SEMICONDUCTOR ASSETS means (without duplication) the following Assets, except as otherwise provided for in any Ancillary Agreement or other express agreement of the parties:
SEMICONDUCTOR ASSETS means, collectively, all Assets (other than Rockwell Retained Assets) which immediately prior to the Time of Distribution are owned by Rockwell or any of its Subsidiaries (including, without limitation, members of the Company Group) and which are used primarily in or relate primarily to the Semiconductor Business, as the same shall exist as of such time, including, without limitation, except as otherwise provided pursuant to any Transaction Agreement, all assets reflected in the Semiconductor Balance Sheet, as such assets may have been added to or sold or otherwise changed since the date thereof. Anything contained herein to the contrary notwithstanding, Rockwell Retained Assets shall not be included in Semiconductor Assets.

SEMICONDUCTOR ASSETS has the meaning set forth in the Separation Agreement.
SEMICONDUCTOR ASSETS means, collectively, all Assets (other than Rockwell Retained Assets) which immediately prior to the Time of Distribution are owned by Rockwell or any of its Subsidiaries (including, without limitation, members of the Company Group) and which are used primarily in or relate primarily to the Semiconductor Business, as the same shall exist as of such time, including, without limitation, except as otherwise provided pursuant to any Transaction Agreement, (i) all assets reflected in the Semiconductor Balance Sheet, as such assets may have been added to or sold or otherwise changed since the date thereof, (ii) the Celeritas Account and (iii) the CMOS Imager Technology (subject to the obligation to reconvey such CMOS Imager Technology to Rockwell Science Center in accordance with Section 3.11(h)). Anything contained herein to the contrary notwithstanding, Rockwell Retained Assets shall not be included in Semiconductor Assets.

  • Alternative energy technology means equipment, component parts, materials, electronic devices, testing equipment, and related systems that are specifically designed, specifically fabricated, and used primarily for 1 or more of the following:

  • Business Systems means all Software, computer hardware (whether general or special purpose), electronic data processing, information, record keeping, communications, telecommunications, networks, interfaces, platforms, servers, peripherals, and computer systems, including any outsourced systems and processes, that are owned or used or held for use in the conduct of the Company Business.

  • Plastics means synthetic materials chemically formed by the polymerization of organic (carbon-based) substances. Plastics are usually compounded with modifiers, extenders, and/or reinforcers and are capable of being molded, extruded, cast into various shapes and films or drawn into filaments.

  • Computer software means computer programs, source code, source code listings, object code listings, design details, algorithms, processes, flow charts, formulae, and related material that would enable the software to be reproduced, recreated, or recompiled. Computer software does not include computer databases or computer software documentation.

  • Company Intellectual Property Assets means all Intellectual Property Assets owned by the Company or used or held for use by the Company in the Business and all Products.

  • Cannabis business means any business activity involving cannabis, including but not limited to cultivating, transporting, distributing, manufacturing, compounding, converting, processing, preparing, storing, packaging, delivering, testing, dispensing, retailing and wholesaling of cannabis, of cannabis products or of ancillary products and accessories, whether or not carried on for gain or profit.

  • Company IT Systems means all Software, computer hardware, servers, networks, platforms, peripherals, and similar or related items of automated, computerized, or other information technology (IT) networks and systems (including telecommunications networks and systems for voice, data and video) owned, leased, licensed, or used (including through cloud-based or other third-party service providers) by the Company.

  • Computer Virus means any computer instruction, information, data or programme that destroys, damages, degrades or adversely affects the performance of a computer resource or attaches itself to another computer resource and operates when a programme, data or instruction is executed or some other event takes place in that computer resource;

  • IT Assets means computers, software, servers, networks, workstations, routers, hubs, circuits, switches, data communications lines, and all other information technology equipment, and all associated documentation.

  • Brands means the Sprint PCS Brands and the Sprint Brands.
